# AEP Texas’s $3.26bn grid facility links borrowing to project costs

AEP Texas’s federal transmission loan ties advances to project costs, separates draw availability from maturity and preserves the utility’s repayment duties.

AEP Texas’s July 2026 transmission financing combines a federal guarantee with borrowing tied to individual projects’ costs. The utility secured a facility of up to US$3.26 billion for nearly 100 projects, but each advance remains subject to a defined cost base and further conditions. Federal backing also leaves AEP Texas responsible for reimbursing the government if it pays the lender.

The company’s [Form 8-K filed July 8](https://www.sec.gov/Archives/edgar/data/1721781/000172178126000018/aeptx-20260707.htm) records agreements signed on July 7. The Department of Energy [announced financial close on July 8](https://www.energy.gov/articles/energy-department-closes-loan-aep-texas-delivering-millions-electricity-cost-savings). The programme covers rebuilding or reconductoring transmission lines and constructing new lines across approximately 2,800 miles. Its financing terms connect that physical programme to project-level borrowing and a long repayment horizon.

## Borrowing follows eligible project costs

Section 2.06 of the [loan guarantee agreement](https://www.sec.gov/Archives/edgar/data/1721781/000172178126000018/exhibit103loanguaranteeagr.htm) limits outstanding advances for a single Eligible Project or Preliminary Eligible Project to 80% of its applicable eligible costs incurred and either expended or accrued by the requested advance date. Total outstanding borrowing must also remain within the facility maximum.

The agreement defines those applicable costs to include amounts incurred and paid, plus amounts accrued under GAAP but not yet paid, without duplication. This makes the borrowing base sensitive to recognised project costs, rather than only cash already spent. The 80% test does not establish the market value of an asset or the total budget for the transmission programme.

AEP Texas can request advances no more than once per calendar quarter during the availability period. Requests must identify project costs, supported by accruals, invoices or other acceptable documentation, together with the relevant projects’ budgets and completion dates. The [note purchase agreement](https://www.sec.gov/Archives/edgar/data/1721781/000172178126000018/exhibit101notepurchaseagre.htm) further ties advances to the borrower’s immediate payment or disbursing needs and excludes requests for investment purposes.

The facility therefore supports payment or reimbursement of eligible costs as the portfolio progresses. Those uses can include accrued obligations; the published ceiling cannot be translated into an amount of construction already paid for. The documents reviewed here do not establish an actual drawn balance.

## The funding window and repayment horizon differ

The guarantee agreement’s availability period ends no later than September 15, 2033, and can end earlier if the maximum is reached or the relevant obligations terminate. The Form 8-K gives April 15, 2056 as the facility’s final scheduled maturity. Access to new borrowing and the ultimate repayment horizon are separate features of the financing.

Project qualification continues after closing. For an Eligible Project, advance conditions include DOE approval of eligibility, completed technical due diligence and environmental review, alongside the other contractual requirements. Conditions may be waived in writing where the agreement permits. DOE or the Federal Financing Bank can also issue a drawstop notice before funding if the specified advance conditions are not satisfied.

## Federal backing preserves the borrower’s obligation

The Federal Financing Bank supplies the loan, while DOE guarantees AEP Texas’s repayment and other obligations to that lender. AEP Texas must reimburse DOE for payments it makes to the bank in connection with the guaranteed loan. The guarantee therefore changes the lender’s credit support without releasing the utility from its stated reimbursement obligation.

Amounts advanced bear interest at the applicable US Treasury rate plus 0.375 percentage points, or 37.5 basis points. AEP Texas separately reported paying US$8.43 million in fees to DOE at closing. The spread and those fees are different components of the disclosed financing economics; neither supplies a complete all-in borrowing-cost calculation.

[SA-H2’s development and equity tranches](https://altss.com/blog/climentum-sah2-climate-company-rounds-project-finance) address distinct project-preparation and construction needs. AEP Texas uses another route: a long-dated utility loan whose future advances depend on eligible project costs and continuing conditions. Its July close secured that financing structure, while leaving project execution and the utility’s repayment obligations in place.
