# Audax’s $644.2m equity notice and its lending mandate

Audax’s September notice reports equity sales. Separate SEC disclosures identify a lending mandate and distinguish offering sales from NAV and portfolio value.

Audax Private Credit Fund reported $644.2 million sold in a [September 14, 2026 Form D amendment](https://www.sec.gov/Archives/edgar/data/2033362/000203336226000001/0002033362-26-000001.txt) that classifies the issuer as a “Private Equity Fund.” Yet the same issuer’s documented investment mandate centres on senior secured lending to privately owned U.S. middle-market companies. An investor buys equity in the fund; that does not make the underlying investment business a buyout strategy.

The distinction has a financial consequence. Audax’s separate August report placed its June investment portfolio at about twice its net assets, alongside substantial borrowing. The offering record reports securities sales to investors. It does not measure the loan portfolio, the equity value remaining in the fund or the capital raised in Q3 alone.

## An equity offering with a lending mandate

The September amendment identifies Audax Private Credit Fund, LLC, CIK 2033362, and marks both equity and pooled-investment-fund interests as the securities offered. It reports $644,176,768 sold to 18 investors against an indefinite offering amount. Its declared first sale is October 1, 2024, and it points to a previous 2025 accession. This is an amendment to an existing offering, rather than evidence that the fund launched in September.

The [organization disclosure for March 31, 2026](https://www.sec.gov/Archives/edgar/data/2033362/000119312526219711/R13.htm) supplies the investment proposition. Audax stated an objective of current income and, to a lesser extent, capital appreciation. It intended to invest primarily in senior secured first-lien loans, with minority exposure to second-lien loans, subordinated or mezzanine loans, and equity or equity-like investments in privately owned U.S. middle-market companies.

That mandate supports a private-credit classification while preserving the possibility of equity exposure within it. Neither the security sold to investors nor the Form D fund-category field supplies the full portfolio strategy. Altss’s [August notice comparison](https://altss.com/blog/august-2026-sec-private-fund-notices-issuers-feeders-sales) develops the same category-versus-mandate distinction through a different income fund; here, the issuer’s own reporting also identifies the financing structure behind the exposure.

March’s disclosure names Audax PDB Management Company, LLC as investment adviser. The September notice names that same company and expressly describes its advisory role. The March record also explains the issuer’s continuity: it converted from a Delaware limited partnership to an LLC on April 10, 2025 and elected business-development-company regulation on April 23. The earlier first-sale date therefore belongs to a disclosed predecessor history, rather than a new September vehicle inferred from the manager’s name.

## One share issuance, three capital measures

A [separate August 20 report](https://www.sec.gov/Archives/edgar/data/2033362/000119312526358566/ck0002033362-20260813.htm) describes a specific financing transaction. Audax issued 1,718,450.952 common shares on July 1 for $42.2 million of consideration. The number and price were finalized on August 13, at $24.557 per share. Investors entered subscription agreements with the fund to acquire its limited liability company interests.

That report also supplies three June 30 measures:

- Aggregate net asset value: $563.1 million.
- Investment portfolio at fair value: $1,127.5 million.
- Principal debt outstanding: $571.6 million, with a reported debt-to-equity ratio of approximately 1.02 times.

These amounts describe different parts of the capital structure. Borrowing helps explain why an equity allocation gives exposure to a larger investment portfolio. It also makes portfolio value an unsuitable substitute for investor equity when comparing the scale of an allocation.

The $42.2 million issuance is a dated transaction; the September notice’s $644.2 million is an offering-sales snapshot whose first-sale history begins in 2024. The June balances are earlier valuation and debt observations. They do not form a cash reconciliation, and subtracting one from another would not establish Q3 fundraising or uninvested cash.

For an LP screening this notice, the relevant proposition is an equity interest in a fund with a documented lending mandate and reported fund-level borrowing. The useful comparison is with other credit-fund equity exposures on their stated terms, carrying the offering history and dated balance-sheet measures separately.
