August 2026 private-fund notices: issuers, feeders and sales
August 2026 SEC fund notices compared using original filings, with first-sale dates, reported sales and shared-issuer boundaries kept separate.
Coverage period: 2026-08-01 through 2026-08-31. Publication date: October 15, 2026. This historical edition describes the notices as filed; current fundraising status is not established.
Five selected original SEC fund notices filed in August 2026 illustrate two different monitoring problems: one accession can contain several issuers, and a filing can report either a first sale that already happened or no first sale yet. The sample includes two notices with positive amounts sold and three pre-sale notices. All report indefinite offering amounts, so a percentage-funded comparison has no finite offering denominator here.
This review was researched on October 15 and covers the specified August filing snapshots. We selected named, accessible pooled-fund records from the SEC's Q3 index to examine issuer boundaries and sale timing. It is not a top-five list, a full inventory of August launches or a finding about fundraising conditions across the market.
Bain: a fund and a structured feeder
Bain Capital European Direct Lending Fund (U) filed August 3. The primary issuer is organized in Ireland and identifies an Other Investment Fund. The same submission lists Bain EDL Structured Feeder Designated Activity Co as an additional issuer. It reports zero sold and a first sale yet to occur.
The fund and additional issuer should remain separate legal identities attached to the same accession. An index entry for each is not, by itself, evidence of two independent fundraising events. The notice fields reviewed here also do not establish a current program-wide target or subsequent closing.
Kamino: an earlier-August first sale
Kamino Fund filed August 12 as a Hedge Fund. It reports an August 1 first sale, $7,101,000 sold and five investors.
Those values establish what the issuer reported by the filing date. They do not identify the investors, demonstrate future fundraising momentum or provide an asset-management balance. This review keeps the amount-sold field separate from any unsupported assets-under-management claim.
Prime Movers: a pre-sale venture vehicle
Prime Movers Early Growth Fund II filed August 13 as a Venture Capital Fund. It reports zero sold, zero investors and a first sale yet to occur.
That is a different snapshot from Kamino's positive reported sales. Neither should be converted into a conclusion about the manager's present availability for new investors. A later announcement or filing would be needed to update that status.
Neuberger Securitize: first sale and filing on the same date
Neuberger Securitize High Income Tokenized Fund filed August 18 and reports that date as its first sale. It states $5.1 million sold and two investors. The fund classification is Private Equity Fund and the jurisdiction is the British Virgin Islands.
The legal name contains Tokenized, but the fields used in this review do not establish a token's transferability, blockchain implementation or redemption rights. The supported facts are the issuer's reported classification, dates and sales amount. Product-function claims would need their own official documentation.
Audax: three legal issuers, one original submission
The August 21 Audax submission names Audax Private Equity Fund VIII-A as primary issuer. It lists Audax Private Equity Fund VIII-B and Audax Private Equity Fund VIII-B Feeder as additional issuers. The submission reports a Private Equity Fund, zero sold and a first sale yet to occur.
This is a useful case for deduplicating the discovery index. The same accession can be encountered under multiple issuer names. Counting those appearances as separate independent notice submissions would inflate the filing count. The disclosure does not allocate a future program target among these entities, and no such allocation is invented here.
What this edition adds
The SEC staff FAQ explains that a Form D can precede any securities sale. It also defines the first-sale concept and distinguishes original notices from amendments. All five selected submissions are marked as original notices; that label does not make every named vehicle a newly operating manager.
No combined fundraising total is calculated. The central findings are legal-issuer boundaries, actual sale-date fields and the difference between a reported sale and a pre-sale notice. These are more useful than summing index appearances or interpreting a fund name as a full mandate. The Altss Form D explanation provides the general filing context.

Each linked official submission was preserved with its original XML, filing and acceptance dates, and public issuer/offering fields. The comparison counts five distinct accessions and retains additional issuers within their shared submissions. It makes no inference about undisclosed LP identities or changes after the captured August snapshots.

Public records carry source-specific dates where available. No population-wide measured refresh cadence or universal verification deadline is established here. Page modified, source captured, fact observed, entity verified and aggregate measured describe different events. Check the date attached to the relevant claim; a missing verification date means unknown. Stored source history does not establish a customer-facing historical-analysis interface.
