# Q3 Blackstone and CVC fund notices: why zero sold is an incomplete filter

Three Q3 Blackstone and CVC notices explicitly report no first sale. A dated Partners Group control shows why zero sold alone selects a different set.

Three selected Q3 2026 fund notices explicitly reported that their first sale had yet to occur: Blackstone Tactical Opportunities Fund (VG Co-Invest) L.P., CVC Credit Partners Private Credit 2026-N Fund (EL) SCSp and Blackstone Residential Mortgage Loan Fund L.L.C. Each also reported zero sold and zero investors. Together, those declarations identify a specific pre-sale research list at the filing dates.

A fourth original notice shows why a zero-dollar screen produces a different list. Partners Group Private Royalty Fund (TEI), LLC reported zero sold and zero investors, but supplied August 1, 2026 as its first-sale date. Including it among explicitly pre-sale notices would replace the issuer’s dated declaration with an inference from another field.

## Three explicit pre-sale declarations

[Blackstone Tactical Opportunities Fund (VG Co-Invest) L.P.](https://www.sec.gov/Archives/edgar/data/2140621/0002140621-26-000001.txt) filed its original notice on August 19. The first-sale field says “Yet to Occur”; the offering reports zero sold, zero investors and an indefinite offering amount. That is a vehicle-level snapshot, without a disclosed numerical fundraising target.

The September 21 original notice for [CVC Credit Partners Private Credit 2026-N Fund (EL) SCSp](https://www.sec.gov/Archives/edgar/data/2152785/0002152785-26-000001.txt) gives the same combination: first sale yet to occur, zero sold, zero investors and an indefinite offering amount. [Blackstone Residential Mortgage Loan Fund L.L.C.](https://www.sec.gov/Archives/edgar/data/2153375/0002153375-26-000001.txt), also filed September 21, reports those four fields identically.

The shared result is precise: these three issuers expressly placed the offering before its first sale in the reviewed notices. Their names alone do not establish the portfolios they would build or the allocations available to an outside LP. An indefinite amount also supplies no target against which to calculate fundraising progress.

## The dated first-sale control

The [Partners Group Private Royalty Fund (TEI) notice](https://www.sec.gov/Archives/edgar/data/2149493/0002149493-26-000003.txt), filed August 18, belongs in a separate category. Its first-sale field contains August 1 rather than a yet-to-occur declaration. Its reported amount sold and investor count are both zero, while the offering amount is indefinite. The sales-amount clarification is blank.

The combination remains unexplained in this record. It supports neither an allegation of filing error nor an account of what happened between the issuer and its investors. For the narrower question—who explicitly reported no first sale—the dated entry is enough to exclude it.

## Zero sold is not a cash-receipts measure

The [SEC’s Form D instructions](https://www.sec.gov/files/formd.pdf) define first sale by the first investor’s irrevocable contractual commitment to invest. Item 13 separately asks for securities sold as of filing. Its amounts include cash and other consideration to be received, including future payments under mandatory capital commitments.

Consequently, the Partners Group combination cannot simply be explained as committed capital whose cash had not yet been called. The instructions include that future consideration in the reporting measure; the notice provides no explanation for its particular declarations. Equally, the three explicit pre-sale records provide reported status, rather than independent confirmation of the absence of every contractual commitment.

For an LP or fund-pipeline researcher, the consequence is a cleaner distinction between an explicit pre-sale lead and an unresolved zero-sold observation. A zero-only screen includes all four selected records; requiring the explicit first-sale declaration retains three. These are deliberately selected original notices from July–September, not a Q3 census or an estimate of how often a screen would misclassify funds.

The filing-date distinction also separates this question from [changes in reported sales between amendments](https://altss.com/blog/q3-2026-fund-amendments-reported-sales-comparisons). Neither result establishes a current available allocation or a completed fund close. Those require evidence beyond the historical notice.
