The BIP unitholder vote clears one approval step in Brookfield Infrastructure's proposed simplification. It does not establish that the conversion has closed. Brookfield's October 14, 2026 announcement says BIP unitholders approved the resolutions, that BIP's conversion into a Canadian corporation is independent of BIPC shareholder approval, and that a final British Columbia court order remains a condition. [Read the announcement](https://bip.brookfield.com/press-releases/bip/brookfield-infrastructure-partners-lp-unitholders-approve-proposed-corporate).

## Record the two approval tracks separately

The practical research question is which security and which legal step an announcement covers. A transaction record that has only one approved or pending label loses that distinction. For this event, maintain separate fields for the BIP unitholder decision, the BIPC shareholder decision, the court process and completion. Keep an evidence date next to each field so a later vote cannot silently overwrite the history of an earlier one.

Brookfield reports that approximately 60% of outstanding BIP units were represented at the meeting and more than 99% of votes cast favored both resolutions. It also reports more than 99% support among minority unitholder votes and says all unitholder approvals required for the BIP simplification have been obtained. [Voting results](https://bip.brookfield.com/press-releases/bip/brookfield-infrastructure-partners-lp-unitholders-approve-proposed-corporate).

The BIP approval should therefore update the BIP approval field. It should not automatically update the court or completion fields. Likewise, an upcoming BIPC meeting is a separate event to monitor; it should not be described as a veto over the BIP conversion when the issuer expressly distinguishes the two paths.

## What a separate BIPC outcome could mean

If BIPC shareholders do not approve, Brookfield says the BIPC exchangeable shares would remain outstanding upon closing of the BIP transaction, becoming exchangeable one for one into BIP Inc. Class A Shares. Its release describes the resulting BIPC security as smaller and expects lower liquidity and more limited index participation than for a combined security. Those are issuer expectations, rather than measured post-transaction outcomes. [Issuer explanation](https://bip.brookfield.com/press-releases/bip/brookfield-infrastructure-partners-lp-unitholders-approve-proposed-corporate).

A useful status record preserves both the condition and its proposed consequence. Avoid shortening this to a statement that all holders have already exchanged their securities. For a researcher comparing announcements across time, the relevant follow-up evidence would be the later BIPC voting result and an explicit completion announcement. Neither should be filled in from an expected date.

## Resolve the meeting-time discrepancy before acting

The October 14 release lists the BIPC meeting for October 29, 2026 at 9:00 a.m. EDT. The separately maintained simplification page lists October 29 at 10:00 a.m. Toronto time. The captured sources therefore give conflicting meeting times. Brookfield identifies Laurel Hill Advisory Group as its proxy solicitation agent for voting questions. Compare the [dated release](https://bip.brookfield.com/press-releases/bip/brookfield-infrastructure-partners-lp-unitholders-approve-proposed-corporate) with the [current information page](https://bip.brookfield.com/stock-information/proposed-simplification).

Do not silently choose one hour and present it as verified. Record both source locations and the time of retrieval, then check the latest formal meeting instructions or seek clarification through the issuer’s stated voting-assistance channel. A source conflict is useful information for the reader; suppressing it would make an apparently cleaner summary less reliable. This comparison does not establish the cause of the discrepancy or which page will be corrected.

## Economic equivalence is a structural description

The issuer FAQ describes the new BIP Inc. Class A Shares as economically equivalent to BIP units. It says a BIP holder would receive one new Class A Share for each unit. That description concerns the intended structure of the exchange. [Exchange explanation](https://bip.brookfield.com/stock-information/proposed-simplification).

For transaction research, keep the exchange ratio and the issuer’s description of economic exposure separate from assumptions about future market prices. The supplied documents do not provide observed performance of a completed simplification. A dataset or briefing should distinguish the planned security terms from any later trading evidence. This article does not determine an individual holder’s tax treatment or recommend a security.

## The remaining court and completion evidence

The October 14 release says a hearing for the final Supreme Court of British Columbia order is expected on or about November 3, 2026, if necessary approvals are obtained. It anticipates completion in the fourth quarter, subject to the final order. These are conditional forward-looking statements, not confirmation of a court decision or closing. [Remaining conditions](https://bip.brookfield.com/press-releases/bip/brookfield-infrastructure-partners-lp-unitholders-approve-proposed-corporate).

A reusable monitoring checklist is:

- Preserve the dated BIP approval evidence.

- Keep the BIPC outcome separate until its result is documented.

- Resolve the meeting-time conflict using current issuer instructions.

- Check for the final court order and any revised timetable.

- Mark completion only when an original source establishes it.

This is a review of two issuer publications captured on October 15, 2026. They provide complementary information but are not independent third-party confirmation. The comparison identifies a specific source conflict and separates completed approval from expected subsequent events. Later notices may change the schedule or status, so any reuse should retain this evidence boundary.
