# ChronoScale’s 50MW Microsoft deployment hinges on delivery and acceptance

ChronoScale’s Microsoft deployment pairs two expected 2027 GPU deliveries with acceptance-linked refunds, major procurement commitments and a still-negotiated facility lease.

ChronoScale’s planned 50MW Microsoft deployment carries two expected delivery dates and a refund obligation tied to acceptance. The company’s later quarterly report places the GPU deliveries in February and March 2027, subject to extensions and deployment conditions. Equipment procurement and facility development sit ahead of the promised service, making the path from contract to accepted compute central to the project’s economics.

The [August 27 announcement](https://www.sec.gov/Archives/edgar/data/1549084/000149315226040398/ex99-1.htm) described a North American deployment using NVIDIA GB300 NVL72 systems, liquid cooling, networking and storage. ChronoScale supplies GPU computing services through infrastructure at third-party colocation facilities. Its [quarterly report filed October 14](https://www.sec.gov/Archives/edgar/data/1549084/000162828026065876/chrn-20260831.htm) adds the Texas location and an approximately three-year Microsoft service term. That later filing supplies the delivery detail for the Q3 announcement.

## Two deliveries, two acceptance exposures

ChronoScale entered the Microsoft GPU Services Agreement on August 6 and amended it effective August 21. The two expected tranches have approximately equal GPU quantities and contract values. The disclosure does not allocate an exact 25MW to each delivery. Financing and customary development, construction and operational milestones remain conditions for deployment.

Microsoft can terminate in specified circumstances, with cure rights potentially available. Upon certain terminations, ChronoScale must refund upfront payments in full for an unaccepted tranche and on a pro-rata basis for an accepted tranche. ChronoScale’s own termination rights are more limited; neither party can terminate for convenience.

Acceptance therefore changes the disclosed refund exposure tranche by tranche. A customer advance can support deployment while carrying a contingent repayment obligation. Assessing that cash requires the delivery and acceptance terms alongside the expected service revenue; the filing does not establish that either future tranche has already been accepted.

## Procurement spans two customer contracts

Note 16 places the procurement requirement in a broader customer portfolio. During the three months ended August 31, ChronoScale entered two separate three-year GPU-services agreements with aggregate contracted revenues of $2.7 billion. Fulfilling those deployments requires approximately $2.3 billion of project-specific capital expenditure during the twelve-month look-forward period. That amount includes $2.0 billion of AI-infrastructure purchase obligations expected to be paid within a year.

Those figures attach to the two-customer aggregate, with different revenue and expenditure horizons. They establish a substantial near-term delivery requirement rather than a Microsoft-only contract price or a project profit calculation. The company also reported $328.2 million of aggregate customer prepayments after August 31, without allocating that total by customer or giving transaction-by-transaction receipt dates.

## The facility remains an upstream step

The Texas facility introduces another contractual step. On October 11, ChronoScale entered a term sheet with related party Applied Digital for a $50 million upfront tenant fit-out advance at a third-party data center. Its related-party committee approved the contemplated transaction. The company expected to lease space from a joint venture being formed between Applied Digital and the third party with site control; the lease remained under negotiation.

The contemplated lease was expected to provide the capacity needed for the Microsoft deployment. The October disclosure thus connects the customer’s GPU service to a separate facility arrangement still being completed. The term sheet establishes the proposed advance, without establishing that the $50 million had been funded or the lease executed.

For infrastructure lenders and equity investors, the sequence identifies where delivery exposure sits: procuring GPUs, obtaining financing, securing the facility and reaching customer acceptance. The filing warns that failures against deployment conditions or milestones can lead to penalties, credits or termination rights. These mechanisms give substance to the broader [AI-infrastructure financing and capacity commitments](https://altss.com/blog/q3-2026-ai-infrastructure-financing-commitments-guarantees-capacity) comparison. In this case, the two acceptance events and upstream facility agreement are the milestones that turn the announced deployment into a service.
