DigitalOcean’s $725 million equipment-finance facility leaves the company with a cash contribution to make and a repayment timetable to manage. The lessor can advance up to 90% of equipment cost; DigitalOcean funds the balance as prepaid rent. Advances are available for one year, while every equipment lease must amortize its advance in full by September 10, 2030.

Those terms connect the September financing announcement to the practical cost of adding computing capacity. DigitalOcean said the facility would support purchases of GPUs, CPUs and other equipment for its AI-native cloud, with expansion aimed at 2027 and 2028. The disclosed structure brings financing, procurement and repayment onto different clocks.

## The company supplies part of the equipment cost

The [September 10 Form 8-K](https://www.sec.gov/Archives/edgar/data/1582961/000110465926106704/tm2625205d1_8k.htm) identifies DigitalOcean, LLC as lessee and MUFG Americas Capital Leasing & Finance as lessor. The lessor acquires the equipment using its advances and DigitalOcean’s prepaid contribution, then leases it to the operating company. DigitalOcean expected to account for these arrangements as finance leases.

At the maximum 90% advance rate, each $100 of equipment cost requires $10 from the company. As an illustration, fully using $725 million at that rate would correspond to approximately $805.6 million of equipment and $80.6 million of company prepaid rent, before fees or other costs. These are Altss calculations from the disclosed funding share, rather than reported purchases or actual utilization.

The committed amount is $725 million. A further $300 million accordion could raise it to $1.025 billion, but DigitalOcean’s intention to exercise that option depended on new or existing lenders making commitments and other conditions. Keeping the conditional addition separate preserves the amount actually committed in the announcement.

## Procurement changes the repayment runway

DigitalOcean can request advances until September 10, 2027. Rent is payable monthly in arrears, and each advance amortizes fully by the common September 10, 2030 endpoint. An advance made at closing would therefore have about four years before that date; one made at the end of the draw window would have about three.

The distinction matters when matching a hardware delivery plan with its financing. Later equipment purchases within the window leave less time before the shared repayment endpoint. The summary does not publish individual monthly installment schedules, so it cannot support a precise payment forecast for a hypothetical procurement programme.

Each advance fixes its interest rate when made, at a term SOFR swap rate plus 2.75 percentage points annually. Undrawn commitments carry a 0.20% annual fee, increasing to 0.40% six months after closing. Waiting to draw therefore has a disclosed carrying cost, alongside the company’s eventual prepaid-rent contribution.

## Ownership and recourse remain part of the financing

The [filed summary](https://www.sec.gov/Archives/edgar/data/1582961/000110465926106704/tm2625205d1_8k.htm) also specifies purchase and repayment terms. Prepaying and buying equipment attracts a premium of 5% in the first year and 3% in the second year following the relevant advance. Title transfers to the lessee for nominal consideration once amounts under the equipment lease have been paid in full.

The facility is guaranteed by DigitalOcean Holdings and certain subsidiaries, and secured by the equipment and related collateral. It combines asset security with corporate support. The summary supplies no equipment resale estimate or quantified recovery value, and says the full agreements would be filed with the September-quarter Form 10-Q. This analysis relies on the September announcement-stage disclosure.

Altss’s [CoreWeave debt analysis](https://altss.com/blog/coreweave-debt-repayment-collateral-customer-concentration) examines another connection between amortization and parent recourse. DigitalOcean adds a lease-specific funding question: how much company cash accompanies the equipment advance, and how does the procurement date fit the remaining repayment period? The headline commitment becomes more useful when those obligations sit beside it.
