# DLP Preferred Credit: debt, equity and the $200,000 minimum

DLP Preferred Credit’s Q3 debt and equity notices report different minimums. Current $200,000 fund and note summaries also describe different claims.

DLP Preferred Credit Fund LLC’s two Q3 2026 notices attach different minimum investments to different securities. Its July 9 original Form D reports a $200,000 minimum for an offering that selects debt and pooled investment fund interests. The September 21 equity amendment reports $500,000 and identifies a predecessor filed in 2021. Treating the latter as an update to July would merge separate offering histories.

The distinction carries through to current access terms. In an October 22 observation, DLP’s official comparison page advertised a $200,000 minimum for both its Preferred Credit Fund and a Series A note offering. Those summaries describe different investment claims, payment labels and terms. A single minimum attached to the issuer would lose that information.

## Two notices under the same issuer

The [July original submission](https://www.sec.gov/Archives/edgar/data/1887259/0001566114-26-000064.txt) identifies DLP Preferred Credit Fund LLC, CIK 1887259. Alongside the $200,000 outside-investor minimum, it reports a $20 million offering amount and an April 14, 2026 first sale. The securities fields select debt and pooled investment fund interests.

The [September amendment](https://www.sec.gov/Archives/edgar/data/1887259/0001566114-26-000089.txt) names the same issuer but selects equity and pooled investment fund interests. It reports a $1 billion offering amount, a $500,000 minimum and an October 29, 2021 first sale. Its stated previous accession is 0001567619-21-018160, rather than July’s 2026 original accession.

These are distinct dated offering records. The $200,000 and $500,000 values do not establish a within-offering increase, and the two offering amounts do not produce a combined fundraising total. The [Altss review of fund amendments](https://altss.com/blog/q3-2026-fund-amendments-reported-sales-comparisons) explains why a comparison needs the actual predecessor relationship before treating notice values as a sequence.

## The same advertised minimum buys different claims

DLP’s [current investment comparison](https://dlpcapital.com/invest) describes its Preferred Credit Fund as a REIT providing primarily mezzanine loans and other subordinate financing for attainable rental housing. Its card lists an evergreen term, a 9% annual preferred return paid monthly, a 10–11% targeted annual net return and a redemption period described as 90-day notice, alongside the $200,000 minimum.

The separate Series A note card says noteholders participate as lenders to the Preferred Credit Fund. It lists 9% fixed annual interest, a five-year term with an optional call right and the same $200,000 minimum. Fund preferred distributions, a targeted net return and interest on a term note are different measures. The shared 9% figure does not establish equivalent payment rights or liquidity.

The July notice does not expressly identify a Series A product, so its debt designation and matching minimum are insufficient to establish that specific mapping. The captured current page also does not explain the difference between its advertised fund minimum and September’s declared $500,000. It supplies an October observation, without establishing when or why access terms changed.

## What the reported minimum can establish

The [official Form D instructions](https://www.sec.gov/files/formd.pdf), Item 11, ask for the minimum accepted from an outside investor. Where the offering permits waivers, the issuer must report the lowest amount below which a waiver will not be granted. The instructions exclude specified insiders and service providers from the outside-investor category. The field therefore has a defined reporting perimeter; it is not a record of every investor’s subscription or acceptance terms.

For an allocator or adviser comparing these opportunities, the useful record keeps the offering’s security type and dated minimum beside the product’s actual terms. DLP qualifies its fund return targets as uncertain and says its website omits material information contained in the private placement memorandum. The public summaries establish neither an investor-specific acceptance decision nor assured returns or redemption. Here, the concrete result is separate debt and equity notice histories, plus two current advertised products whose identical minimum leaves their economic differences intact.
