# Envestnet’s Vestmark agreement brings portfolio technology and advisory services together

Envestnet’s proposed Vestmark acquisition combines trading and tax tools with VAS advisory services. Platform assets, advisory AUM and client contracts have distinct scopes.

Envestnet’s proposed purchase of Vestmark would bring together portfolio implementation technology and an established advisory service. The commercial proposition extends from the software that supports wealth firms to the work of trading, tax management and ongoing portfolio support. For asset managers assessing the combination, those functions identify different relationships with the business.

The [September 9 agreement announcement](https://www.vestmark.com/press-releases/envestnet-to-acquire-vestmark-extending-its-capabilities-to-meet-the-advisor-markets-growing-demand-for-increasingly-sophisticated-trading-and-tax-solutions) described Vestmark’s portfolio technology, institutional-grade trading and outsourced investment management. Envestnet said the combination would extend its capabilities across wealth-management workflows. It expected a fourth-quarter closing, subject to customary conditions; transaction terms were undisclosed.

## A broader implementation offering

The stated product complement links Envestnet’s reporting and planning capabilities with Vestmark’s trading, rebalancing and tax-transition tools. The companies said their existing product roadmaps would continue, including VestmarkONE, VAST, Tamarac and MoneyGuide. They also expressly said the transaction would not require either company’s clients to migrate platforms. These were announced plans, rather than evidence that integrations or customer transitions had occurred.

The scale figures belong to this operating context. The announcement described approximately $8 trillion in Envestnet platform assets and more than $2 trillion supported by Vestmark. Those figures describe platform reach. A separate [June 18 Vestmark release](https://www.vestmark.com/press-releases/vestmark-marks-25-years-of-innovation-as-advisory-solutions-aum-grows-fivefold-surpassing-50b) reported that Vestmark Advisory Solutions, or VAS, had surpassed $50 billion in assets under management. The June advisory figure and September platform figures have different dates and scopes; adding them would not produce a disclosed managed-asset balance for the acquisition.

## The advisory business has its own client relationships

Vestmark’s website identifies VAS as a wholly owned subsidiary of Vestmark, Inc. and describes it as SEC-registered; this is the provider’s attribution, rather than an independent current registration check. Its June release identified VAS as the investment adviser subsidiary providing tax management, tax transitions, direct indexing and outsourced investment support. VAST, offered through VAS, applies tax overlay across investments within a unified managed account.

The service model is clearer in VAS’s [March 31, 2025 client relationship summary](https://vestmark-two-files.vestmark.com/production/documents/Vestmark-Advisory-Solutions-Form-CRS.pdf?dm=1757617300). That historical document described VAST as outsourced portfolio management accessed through the investor’s financial adviser. It also described wrap accounts sponsored by third-party intermediaries. In most such cases, VAS’s contract was with the sponsor. For Dual Contract Accounts, the investor had an advisory agreement with VAS and a separate agreement with the sponsor.

The same document distinguished discretionary management, where VAS could trade within account guidelines, from non-discretionary services, where the sponsor or financial adviser made the ultimate purchase or sale decision. A technology platform, an advisory service and the intermediary sponsoring an account therefore occupy different positions in the investment process.

Its fee description adds an economic distinction. VAS charged a percentage of account assets. Where an account used multiple strategies, fees were calculated using each strategy’s target allocation, so charges could apply before holdings had fully transitioned to the selected model. This historical disclosure describes the advisory charging method; it supplies neither the acquisition’s revenue base nor a current fee rate.

## What the combination changes for commercial research

A wealth firm evaluating the announced offering can assess a connected implementation service: planning and reporting alongside portfolio construction, trading and tax management. An asset manager considering model distribution has a more specific task—understanding the relevant platform, advisory service and sponsor relationship. The acquisition announcement does not itself establish a new model approval, distribution agreement or client mandate.

Altss’s [Q3 RIA transaction analysis](https://altss.com/blog/q3-2026-ria-ma-assets-deal-value-announcement-status) compares the economics of product managers, advisory practices and specified client-facing businesses. The Vestmark case adds a technology business with an advisory subsidiary and several routes to the end investor. The useful acquisition comparison follows those services and contracts, while the final legal perimeter, consideration and completed ownership remain unestablished by the announcement.
