# HBK and H.I.G.: CPA control within an accounting and wealth platform

HBK’s proposed H.I.G. investment separates CPA-owned audit services from other advisory work while retaining an existing wealth-management provider.

HBK’s proposed investment from H.I.G. Capital would support an integrated accounting and wealth business while leaving its audit practice under CPA ownership and control. The announced structure gives the transaction a more specific commercial meaning than a new sponsor joining a wealth firm: different providers would continue serving related client needs within the same group.

The [August 25 announcement](https://hig.com/news/h-i-g-capital-announces-strategic-growth-investment-in-hbk/) identified H.I.G. as HBK’s first institutional partner. It described a planned alternative practice structure before closing, with the transaction expected in the fourth quarter of 2026, subject to closing conditions and regulatory approvals. The announcement establishes the intended arrangement; it does not establish that the restructuring or investment subsequently completed.

## Three providers behind the integrated business

Under the disclosed plan, Hill, Barth & King LLC would retain the attest business, including audits and reviews, and remain owned and controlled by its CPA partners. HBK Advisory Group, LLC would provide tax, consulting, accounting and technology services. HBK Sorce Advisory LLC, doing business as HBKS Wealth Advisors, would continue providing wealth management.

That allocation identifies the activities around which outside investment and professional ownership would coexist. It also preserves an important distinction inside the accounting offering: the announcement places accounting services in the advisory company while reserving the specified attest work to the licensed CPA firm. Treating the whole platform as one acquired accounting practice would lose that division.

For an acquisition analyst, the relevant business is therefore a set of connected service relationships. The audit provider, the broader advisory provider and the wealth adviser have different roles even where their clients overlap. The disclosed structure describes how the group intends to organize those roles without publishing a percentage ownership schedule for the businesses receiving outside investment.

## Growth across services, with continuity for clients

[HBK’s own announcement](https://hbkcpa.com/insights/hbk-and-h-i-g-capital-announce-strategic-growth-investment/) describes a business serving entrepreneur-led and family-owned companies as well as wealthy individuals and families. Its accounting practice added wealth management in 2001; the technology practice operates as Vertilocity. The proposed investment supports people, technology and client-service capabilities across that combined offering.

Those capabilities address different parts of a client’s financial life. An entrepreneur’s business and personal wealth can create related advisory needs, which explains the appeal of a coordinated service proposition. The commercial link does not require every service to come from the same legal provider. In HBK’s announced arrangement, the entity map is part of the proposition itself.

HBK said its partners would continue leading the firm and clients would continue working with their existing teams. For the wealth business, that continuity statement attaches to an existing adviser, HBK Sorce Advisory, rather than announcing a new investment-management firm. It provides a concrete description of planned operations while leaving any subsequent changes to advisory agreements, investment selection or distribution arrangements unestablished.

## What the investment announcement establishes

This case adds a specific professional-ownership structure to the [different acquired activities already visible in wealth transactions](https://altss.com/blog/q3-2026-ria-ma-assets-deal-value-announcement-status). Institutional backing can support a connected accounting, technology and wealth proposition while the named audit provider retains CPA control.

The releases do not quantify the investment, purchase price or investor stake. The useful finding is consequently the proposed organization of the business and the growth capabilities it is intended to support. A valuation, a change in client investment mandates or a completed transfer of control would require additional evidence beyond these announcements.
