# Reading Q3 2026 fund amendments: two reported-sales comparisons

Two Q3 fund amendments are compared with their explicitly linked predecessors, preserving reported-sales differences, dates and the limits of a fundraising-flow inference.

Image: A subtraction folio keeps HarbourVest’s two dated reported-sales amounts visible above their difference and the95-day interval.

HarbourVest Infrastructure Income Cayman Parallel Partnership L.P. reported a $3,983,950 increase in amount sold between its June and September 2026 Form D notices. Blackstone Strategic Opportunity Fund L.P. reported a $261,750,000 increase between notices filed almost a year apart. Both newer amendments were filed in Q3. Neither comparison measures Q3 fundraising inflows.

The distinction becomes clear when the amounts are read alongside the dates. HarbourVest's comparison spans 95 days, beginning before the quarter. Blackstone's spans 364 days, beginning in August 2025. These two explicitly linked filing pairs provide useful observations about continuing offerings, with very different periods behind their reported changes.

## HarbourVest: more reported sales, an unchanged investor count

HarbourVest's [September 15, 2026 amendment](https://www.sec.gov/Archives/edgar/data/1931064/000193106426000004/xslFormDX01/primary_doc.xml), accession 0001931064-26-000004, identifies the [June 12 amendment](https://www.sec.gov/Archives/edgar/data/1931064/000193106426000003/xslFormDX01/primary_doc.xml), accession 0001931064-26-000003, as its predecessor.

The earlier notice reports $419,153,956 sold. The later notice reports $423,137,906. The difference is $3,983,950 over the 95 calendar days between filing dates. Both notices report 31 investors, an indefinite offering amount and June 17, 2022 as the first-sale date.

Read together, the fields show an increase in reported amount sold without an increase in the reported investor total. That is a more informative observation than the latest amount-sold figure alone: it distinguishes the change in the capital field from the change in the investor-count field.

The unchanged total does not identify the underlying investors or prove they are exactly the same group. It cannot establish that the entire increase came from additional commitments by existing investors. What is visible is the relationship between two reported totals at two dated observations.

## Blackstone: a larger change across a much longer interval

Blackstone's [August 14, 2026 amendment](https://www.sec.gov/Archives/edgar/data/1556260/000090266426003470/xslFormDX01/primary_doc.xml), accession 0000902664-26-003470, identifies [accession 0000902664-25-003714](https://www.sec.gov/Archives/edgar/data/1556260/000090266425003714/xslFormDX01/primary_doc.xml), filed August 15, 2025, as its predecessor.

Reported amount sold increases from $878,225,838 to $1,139,975,838. Subtraction produces $261,750,000 across 364 calendar days. The investor count rises from 56 to 59. Both notices retain an indefinite offering amount and July 1, 2011 as the first-sale date.

Here, both the reported capital field and investor total increase. The three-investor change is a difference between totals, rather than a list of three newly identified LP relationships. The filing pair supplies no investor-level reconciliation showing entries, exits or the amount associated with each investor.

The scale of the amount-sold increase is therefore only part of the finding. Its measurement interval is almost a year. Most of that interval falls outside Q3 2026, so presenting the $261.75 million as third-quarter fundraising would attach a time period the two snapshots do not establish.

## The filing quarter and the capital comparison are different units

The newer HarbourVest and Blackstone amendments belong to a Q3 filing review because they were filed between July 1 and September 30. That is a statement about disclosure activity. The change in each amount-sold field is measured against the predecessor identified in that notice, which sets a different interval.

HarbourVest's interval crosses from Q2 into Q3. Blackstone's begins in the previous year. Combining their changes into a quarterly capital-flow total would erase those differences. Comparing the two as a ranking of Q3 fundraising success would create the same problem at the manager level.

The reported first-sale dates add another distinction. The selected notices retain dates in 2022 and 2011 respectively. A new 2026 amendment is consequently not evidence that the offering first sold securities in 2026. It is a new disclosure within the history stated by those filings.

For these pairs, the legal issuer name, primary CIK, first-sale date, fund classification and indefinite offering-amount basis match. Neither reviewed issuer-list field names additional issuers. Those observations support the comparison within each selected offering; they do not define the wider manager's full vehicle structure.

## Why amendment timing cannot stand in for subscription timing

The [SEC's Form D FAQ](https://www.sec.gov/about/divisions-offices/division-corporation-finance/frequently-asked-questions-answers-form-d) describes amendments for material corrections, relevant changes and annual updates of continuing offerings. It says an amendment answers the form's items using current information when filed. Changes solely in amount sold or amount remaining do not themselves require an amendment.

That reporting framework explains why the date of an amendment is an unreliable clock for each underlying subscription. A change visible between two notices need not have been disclosed at the moment it occurred. The notices do not establish a transaction-by-transaction cash-flow series, even when the subtraction is exact.

Nor does the nearly annual spacing of the Blackstone filings establish the reason for that particular amendment. The reviewed notice does not state one. The reporting interval is observable; the issuer's motive for filing should not be supplied by inference from the calendar alone.

## What these comparisons add to a fundraising watchlist

The HarbourVest pair identifies a $3.984 million change with a flat reported investor count over 95 days. The Blackstone pair identifies a $261.75 million change and a higher investor total over 364 days. Those are distinct offering-monitoring findings, not competing estimates of quarterly cash raised.

For a fundraising analyst, the useful follow-up is specific to the question. A search for a confirmed close needs a closing disclosure. A search for a new offering needs evidence of launch or first sale. Monitoring a continuing offering can use these amendment pairs, retaining the exact issuer, predecessor accession, reporting fields and comparison interval.

This keeps amount sold separate from fund AUM, performance, net subscriptions and cash received. It also preserves the result when another notice appears: the next observation belongs in the same offering history, rather than becoming another newly launched fund in a monthly count. The [Altss Form D glossary](https://altss.com/glossary/form-d) provides the broader notice definitions.

Editorial update, October 15, 2026: Expanded the comparative interpretation of the two amendment pairs while preserving their original amounts, dates and source filings.
