# RIA minority capital in Q3 2026: ownership, liquidity and control

Six Q3 wealth-management cases separate growth financing, sponsor liquidity and exits, with employee ownership, control and transaction stage kept distinct.

Image: A transparent liquidity sleeve separates Savant vehicle commitments from the employee shareholder group.

Savant’s July announcement reported a closed continuation vehicle with approximately $270 million in commitments, offering liquidity to Cynosure’s original investors while Cynosure remained a minority investor and board member. Prime Capital Financial’s August announcement described an agreed approximately $600 million hybrid capital package that included minority ownership and a planned Abry exit. One completed a vehicle for investor liquidity; the other set out a financing agreement with closing still expected. Those differences change how the capital and ownership outcomes should be read.

For an RIA principal assessing capital partners, or an investor comparing wealth-management transactions, the consequential questions are who receives the money and who retains authority. Neither an investor’s name nor the adviser’s client assets answers both.

Selected July–September announcements show a range of outcomes: continued employee ownership, expressly retained management control, a sponsor exit returning the business to family and advisers, and future board participation alongside a growth investment. These cases support a comparison of structures, rather than an estimate of quarterly minority-investment volume.

## Prime Capital: a hybrid package is not an equity cheque

In its [August 7 announcement](https://primefinancial.com/prime-capital-financial-announces-strategic-partnership-with-carlyle/), Prime said Carlyle’s Global Credit platform had agreed to provide an approximately $600 million hybrid capital solution. The partnership included a minority ownership interest and valued Prime at more than $1.8 billion on an enterprise-value basis. Prime also described nearly $50 billion in AUM.

Each figure measures something different: the financing package, the value attributed to the business and the client assets it manages. Dividing the package by enterprise value would not establish Carlyle’s equity percentage. The package is described as hybrid, and the announcement does not supply an instrument-by-instrument allocation or an equity purchase-price denominator. The same [separation of advisory assets and transaction consideration](https://altss.com/blog/q3-2026-ria-ma-assets-deal-value-announcement-status) matters when comparing acquisitions with minority financing.

The [full issuer release](https://www.businesswire.com/news/home/20260806982146/en/Prime-Capital-Financial-Announces-Strategic-Partnership-With-Carlyle-to-Accelerate-Next-Phase-of-Growth) said Abry Partners would exit. It also said the transaction would preserve Prime’s leadership, adviser-led model and majority employee ownership, with approximately 180 advisers remaining owners. Sponsor replacement and employee majority ownership therefore coexist in the disclosed structure.

The announcement does not allocate the financing between payments to existing owners and funds available for the business. Treating the full package as acquisition spending capacity would overstate what the disclosure establishes.

There is also a timing qualification. [Abry’s August 7 announcement](https://abry.com/news-article/abry-partners-exits-investment-in-prime-capital-financial-following-period-of-significant-growth/) described a successful exit but expressly said the transaction was expected to close in mid-September, subject to approvals. Prime’s full release expected closing before September 15. Those announcements document the agreed structure; they do not supply a confirmed closing date. An elapsed target date is not completion evidence.

## Savant: investor liquidity with the sponsor still present

[Hamilton Lane’s July 30 announcement](https://shareholders.hamiltonlane.com/2026-07-30-Hamilton-Lane-Serves-as-Sole-Lead-Investor-in-Cynosure-Partners-Single-Asset-Continuation-Vehicle) reported the closing of Cynosure Partners’ single-asset continuation vehicle for Savant Capital Holdings, known as Savant Wealth Management. Approximately $270 million in total vehicle commitments provided a liquidity option to Cynosure’s original limited partners. Hamilton Lane-managed funds were the sole lead investor and only source of new outside capital.

Cynosure remained an active minority investor and board member alongside Kelso. Savant employees continued to be the largest shareholder group. The transaction thus changed the liquidity available to Cynosure’s investors without requiring Cynosure to disappear from Savant’s ownership and governance.

That is a different result from a simple sponsor sale. The commitment figure belongs to the continuation vehicle; the announcement does not divide it into shareholder liquidity and operating-company proceeds. It should not be presented as $270 million of fresh cash available to Savant’s management or as a disclosed purchase price for the whole firm.

For a prospective capital partner, the distinguishing feature is the combination of investor liquidity and continuing sponsor involvement. For an RIA owner, it illustrates how the investment horizon of a sponsor’s original investors can be addressed separately from the business’s continued relationship with that sponsor.

## Retained ownership means different things at F.L.Putnam and Confluence

[F.L.Putnam’s July 29 release](https://flputnam.com/news/f-l-putnam-announces-strategic-minority-investment-from-bixby-wealth-solutions/) said Bixby Wealth Solutions had made a minority investment. Bixby, an arm of Moontower Group, is backed by Carlyle’s Global Credit business. Financial terms were undisclosed. F.L.Putnam said it would operate independently under the same leadership and that employees would retain a significant minority equity stake.

That last phrase deserves precision. It describes the employees’ holding as a minority, rather than a majority. It also differs from Savant’s statement that employees were the largest shareholder group. The largest group can be larger than each other group without constituting a majority of all equity. Continued leadership is a further, separate observation about management.

[Confluence’s August 24 issuer announcement](https://www.prnewswire.com/news-releases/confluence-financial-partners-announces-strategic-partnership-with-constellation-wealth-capital-302858481.html) was more explicit about authority: Constellation Wealth Capital would make a minority investment, and Confluence would remain led and controlled by its existing leadership team. The release linked the investment to additional capital and strategic resources for growth.

A later first-party participant document improves the transaction chronology. In an [August 31 notice](https://www.metzlewis.com/closed-deals/metz-lewis-represents-confluence-financial-partners-in-strategic-partnership-with-constellation-wealth-capital/), Confluence’s transaction counsel, Metz Lewis, said CWC had made the minority investment and again stated that existing leadership would retain control. The counsel notice supports recording the investment as made by that announcement, while the exact closing date remains unspecified.

Across these firms, employee minority ownership, the largest shareholder group, employee majority ownership and leadership control are distinct disclosures. Collapsing them into an undifferentiated “independent” label would discard information an owner or capital provider needs. Exact equity percentages and private contractual consent rights remain outside this comparison.

## Lincoln: a non-control sponsor can leave the capital structure

New Mountain’s [September 2 announcement](https://www.newmountaincapital.com/lincoln-investment-and-new-mountain-capital-announce-new-mountain-capitals-exit-following-significant-business-transformation/) reported its exit from Lincoln Investment Capital Holdings, an independent broker-dealer and registered investment adviser. The transaction returned full ownership to the Forst family and adviser shareholders.

The sponsor’s [Lincoln portfolio record](https://www.newmountaincapital.com/portfolio/lincoln-investment/) identifies its original position as non-control, through the Strategic Equity Fund, with an October 2020 investment date. Read together, the records show the removal of an outside non-control investor, rather than the arrival of a replacement sponsor described in the exit announcement.

This is the opposite ownership direction from adding an institutional capital partner. It also differs from Savant, where Cynosure stayed involved after providing liquidity to original investors. Grouping both events under minority-investment activity may help discover transactions, but obscures whether a sponsor entered, continued or exited.

## Kingsview: management continuity does not classify the stake

FTV Capital’s [August 27 Kingsview announcement](https://ftvcapital.com/2026/kingsview-partners-announces-significant-growth-investment-from-ftv-capital/) describes a significant growth investment, with closing expected in Q4 2026 subject to conditions and regulatory filings. Management would keep leading the firm and retain significant ownership. Three FTV investment professionals would join the board after closing.

The captured original does not call the investment minority or disclose a percentage. Kingsview therefore belongs here as a comparison of disclosed governance and management continuity, rather than as another verified minority-stake transaction. Retaining significant ownership is not the same disclosure as retaining control, and a future board appointment is not an already-effective seat.

For an RIA considering capital alternatives, this is a useful question to put to advisers early: what ownership and governance terms sit behind the growth-capital description?

## What changes for an owner, investor or fundraiser

The strongest comparison separates three layers. The economic transaction identifies who receives liquidity or financing. The ownership outcome identifies who remains invested. Governance identifies who can make or influence particular decisions. Savant’s LP liquidity, Prime’s hybrid package, Confluence’s retained leadership control and Lincoln’s sponsor exit occupy different positions across those layers.

An RIA owner evaluating an offer should ask for the allocation between primary capital and shareholder liquidity, the post-transaction ownership structure, and the actual board and consent arrangements. Those answers determine whether a headline growth commitment translates into investable resources for the adviser and how future decisions will be shared.

For fund-distribution teams, ownership is a reason to investigate the relationship, not evidence that an approved list or portfolio mandate changed. An outside capital provider may have a disclosed economic interest or board role while existing leadership remains. The relevant follow-up is [who holds investment-selection authority](https://altss.com/blog/investment-consultants-as-gatekeepers-in-2026), rather than a presumption that a sponsor’s arrival creates access to client assets.
