# Rocket’s Hercules loan: repayment and surviving warrants

Rocket’s September 30 financing links clinical milestones to principal timing. Repaid advances cannot be reborrowed, while vested warrant rights remain.

Repaying Rocket Pharmaceuticals’ Hercules loan would reduce its debt without restoring the repaid borrowing capacity or cancelling already vested warrant rights. The [loan agreement](https://www.sec.gov/Archives/edgar/data/1281895/000114036126038818/ef20083350_ex10-1.htm) and [filed warrant form](https://www.sec.gov/Archives/edgar/data/1281895/000114036126038818/ef20083350_ex10-2.htm) make those consequences explicit. For a borrower planning around clinical milestones, the relevant choice extends beyond the interest saved on a repayment: it also changes available liquidity while leaving an equity option outstanding.

Rocket entered the senior secured facility and received $35 million on September 30, 2026. Its [October 6 current report](https://www.sec.gov/Archives/edgar/data/1281895/000114036126038818/ef20083350_8k.htm) disclosed a maximum of $150 million across five tranches. September 30 is the agreement and initial-funding date; October 6 is the public-announcement and SEC-filing date. The facility ceiling describes potential financing, not cash all received at closing. Altss’s [AI infrastructure financing comparison](https://altss.com/blog/q3-2026-ai-infrastructure-financing-commitments-guarantees-capacity) examines the related distinction between prospective capital and obligations that activate only under specified conditions.

## Clinical progress changes the principal timetable

The next $35 million is split between a $20 million borrower-option advance available through June 30, 2027 and a $15 million advance available after the earlier full draw or expiry of that commitment, through September 30, 2027. Both remain subject to the agreement’s conditions. Another $30 million requires the Tranche 2 clinical milestone; the final amount of up to $50 million requires the lenders’ investment committee approval in its sole discretion.

The clinical milestone gives the agent an evidential role. Exhibit K permits either defined positive registrational-study data or specified interim RP-A501 data supporting a Biologics License Application for Danon Disease. Rocket must deliver evidence satisfactory to the agent. The interim-data route expressly requires consultation with management, review of data and regulatory correspondence, and the agent’s determination that the data supports a filing. These are contractual conditions, rather than a prediction of clinical or regulatory success.

That milestone can also postpone principal repayments. The initial amortization date is April 1, 2029. To move it to April 1, 2030, the agent must receive reasonably satisfactory evidence of the Tranche 2 milestone before April 1, 2029, with no continuing Default or Event of Default. A further extension to October 1, 2030 requires the first extension conditions plus satisfactory evidence of the separate FDA-approval milestone before April 1, 2030, again without a continuing default.

Exhibit K defines that approval milestone more precisely than a general drug approval: it includes a label consistent with the application and supporting the target product profile, plus an ongoing confirmatory trial if the FDA requires one. Separately, the October 1, 2030 maturity extends to October 1, 2031 on achievement of the Tranche 2 milestone without a continuing Default or Event of Default.

The same clinical gate therefore affects both a possible advance and the time before principal amortization. An extension preserves the interest-only period; it does not suspend interest. The agreement requires monthly accrued-interest payments and then equal monthly principal-and-interest installments. The $30 million advance has its own availability deadline—the earlier of December 15, 2028 and 60 days after milestone achievement—so an amortization extension is not a substitute for meeting that draw window.

## Repayment does not reset the financing

Section 2.2(b) bars reborrowing any repaid advance or portion of one. Drawing and later repaying principal therefore consumes that advance rather than replenishing a revolving line. Any other undrawn tranche remains governed by its own commitment period and conditions; repayment creates no new commitment.

An early exit also involves more than the outstanding balance. The disclosed prepayment charge is 3% before the first closing anniversary, 2% between the first and second anniversaries, and 1% thereafter before maturity. Section 2.5 also requires accrued interest, relevant fees and the applicable end-of-term charge. The public Exhibit K redacts the end-of-term percentages and certain other fees, preventing a complete all-in cost calculation from the disclosed interest rate alone. Minimum-cash testing has separate milestone, timing and market-capitalization conditions.

## Vested warrant rights follow funded advances

Rocket issued warrants covering up to 1,755,853 shares at $2.99 per share; 409,699 shares were exercisable after the initial advance. The current report links exercisability to each lender’s aggregate original principal funded relative to its commitment. The warrant form likewise measures vesting using original funded advances without deducting later repayments.

The form then expressly provides that repayment, prepayment, amortization and other loan modifications do not reduce the Vested Share Amount once vested. That preserves the relevant purchase rights, not evidence that all underlying common shares have been issued. Nor are the rights perpetual: the form’s term ends at the earliest of the seventh anniversary of the warrant’s Effective Date, a defined Cash Acquisition or exercise in full for the maximum share amount. It is a filed form with blanks, rather than a set of individually executed lender warrants.

For treasury and credit teams, the financing has two different balances to track: principal still owed and vested warrant rights still capable of exercise under their terms. Repayment changes the first without reversing the second. Clinical progress may defer principal and support further borrowing, while each additional funded advance can increase exercisable rights. Evaluating a refinancing or prepayment solely against the loan balance would leave out that continuing equity component; the public documents do not establish an optimal choice or today’s outstanding debt and warrant exercise position.
