PI Opportunities Fund-II acquired about ₹200 crore of SBI Funds Management shares from State Bank of India shortly before the asset manager’s July 2026 IPO. The transaction gives capital researchers a specific shareholding to follow: a named investment vehicle bought existing company equity, with the consideration going to the selling shareholder.

The [final prospectus](https://www.sebi.gov.in/sebi_data/attachdocs/jul-2026/1784286127716.pdf), dated July 16 and listed on [SEBI’s document page](https://www.sebi.gov.in/filings/public-issues/jul-2026/sbi-funds-management-limited-prospectus_102917.html) on July 17, also permits a more precise attribution than a founder’s name alone. Read alongside Wipro’s own relationship disclosures, it separates the legal investor, its promoter connection and the recipient of the purchase money.

## The cash went to existing shareholders

SBI’s July 10 secondary sale comprised 28,832,748 shares at ₹574 each, reported at ₹1,655 crore. Amundi India Holding separately sold 3,919,860 shares on July 9 at the same price, reported at ₹225 crore. Together, the disclosed transactions total about ₹1,880 crore. Those are sales by two existing owners of SBI Funds.

The subsequent IPO followed the same broad capital route. Its offer consisted entirely of shares sold by SBI and Amundi India Holding. The prospectus’s Objects of the Offer section says SBI Funds would receive no offer proceeds; the selling shareholders would receive their respective amounts after expenses and relevant taxes. Listing could provide a public market for the shares, while the sale proceeds belonged to the sellers.

That distinction matters when interpreting a large pre-IPO headline. A shareholder’s monetisation records demand for an ownership stake. It does not, by itself, increase the asset manager’s cash available for business expansion or identify money committed to an investment scheme it manages.

## PI’s stake and Wipro’s relationship category

The capital-history table identifies PI Opportunities Fund-II as the buyer of 3,484,320 shares from SBI on July 10. At the disclosed ₹574 price, the consideration calculates to ₹1,999,999,680, or approximately ₹200 crore. The fully diluted ownership table carries the same share count and a rounded 0.17% stake in both its pre-offer and post-offer columns. The latter is a prospectus presentation subject to finalisation of the allotment basis, rather than an observation of October ownership.

Prudent Corporate Advisory Services Limited appears separately as the buyer of 435,540 SBI shares on July 10. Applying the same price gives ₹249,999,960, approximately ₹25 crore; the transfer-history table reports a rounded 0.02% holding. Recording the corporate name preserves a distinct legal counterparty within the wider buyer group.

Wipro’s [FY2026 Form 20-F](https://www.wipro.com/content/dam/nexus/en/investor/annual-reports/2025-2026/20-f-fy25-26.pdf) supplies the relationship context. Note 31 lists PI Opportunities Fund II among “other related parties,” describing it as an entity controlled by promoters. The note separately identifies Azim H. Premji as the ultimate controlling party. These are Wipro’s relationship disclosures for the year ended March 31, 2026.

A researcher can retain that promoter connection while assigning the July purchase to the vehicle named in SBI’s transaction table. Neither the relationship category nor the founder’s association with Wipro establishes how PI financed this particular acquisition. The sources support a legal-buyer and ownership record; the funding behind that buyer remains unspecified here.

## Holding restrictions shape the exposure

The prospectus generally describes a six-month lock-in for pre-offer shares from IPO allotment, with exceptions. For qualifying registered venture-capital and specified alternative-investment-fund holders, it describes a different basis of at least six months from purchase, subject to the stated conditions. A buyer’s name alone does not resolve which conditions apply or establish an exit date.

Altss’s [March family-office deal-flow review](https://altss.com/blog/family-office-deal-flow-march-2026) follows Premji’s participation in company funding rounds. In this case, the prospectus carries PI-II’s 3,484,320-share position through the offer, while SBI monetises part of its ownership. PI-II’s acquisition placed it alongside the asset manager’s other shareholders, with subsequent liquidity governed by the applicable holding restrictions. The July record establishes the entry position, without establishing an October sale or a date on which the shares became freely transferable.
