Coverage period: 2026-09-01 through 2026-09-30. Publication date: October 15, 2026. This historical edition describes the notices as filed; current fundraising status is not established.

Five selected original SEC fund notices filed in September 2026 show why an original-notice label is insufficient evidence of a new September fund launch. Two report first sales in 2012 and 2014. Three report that a first sale had yet to occur. Three also have an acceptance date one calendar day before the official filing date.

This is a defined, purposive comparison of accessible pooled-fund notices, researched on October 15. We selected records from the SEC's Q3 index to examine offering chronology and filing-date boundaries. It is not a census, a ranking or a measure of capital raised by private funds during September.

## Nantahala: a historical first-sale date

[Nantahala Capital Offshore Fund I](https://www.sec.gov/Archives/edgar/data/1550475/000155047526000001/xslFormDX01/primary_doc.xml) filed September 25 as a Hedge Fund. Its original notice reports a June 1, 2012 first sale, $39,541,731 sold and eight investors. The offering and remaining amounts are indefinite.

The historical date is material to interpretation. The amount sold cannot be presented as September fundraising proceeds merely because the notice was filed then. The record also does not establish that the underlying manager first entered the market in September. No conclusion about the reason for that chronology or filing compliance is made here.

The same-day [Nantahala amendment](https://www.sec.gov/Archives/edgar/data/1550475/000155047526000002/xslFormDX01/primary_doc.xml) reports the same first-sale date, $39,541,731 amount sold and eight investors. It explicitly identifies accession 0001550475-25-000002 as its predecessor, rather than the same-day original 0001550475-26-000001. The captured notice does not explain the reason for that filing pattern. The original remains a dated snapshot; this comparison does not establish a new 2026 offering or later economic status.

## Merricks: a master-fund record with a 2014 first sale

[Merricks Capital FOO Master Fund](https://www.sec.gov/Archives/edgar/data/1653705/000165370526000003/xslFormDX01/primary_doc.xml) filed September 22 as a Hedge Fund. It reports a December 1, 2014 first sale, $96,530,060 sold and five investors, again with an indefinite offering amount. Its acceptance date is September 21.

This is one named master-fund notice. The reported amount is not added to an unexamined feeder figure, and the investor count is not treated as a count of unique LPs across a wider structure. The record does not provide a September-only sales change.

## Brookfield and TPG: preserve both date fields

[Brookfield Credit ATRS Beacon Investment Fund](https://www.sec.gov/Archives/edgar/data/2153140/000215314026000001/xslFormDX01/primary_doc.xml) has a September 17 filing date and a September 16 acceptance date. It identifies an Other Investment Fund and reports zero sold, zero investors and a first sale yet to occur.

[TPG Merlin Fund](https://www.sec.gov/Archives/edgar/data/2154536/000215453626000001/xslFormDX01/primary_doc.xml) has a September 15 filing date and a September 14 acceptance date. It identifies a Private Equity Fund and likewise reports zero sold, zero investors and no first sale yet. Both offering amounts are indefinite.

All these dates remain within September, but a daily monitor using acceptance date would place each observation on a different day from a monitor using the filing-date field. A reproducible report should name its date filter. This edition uses the official filing date for month inclusion and preserves acceptance separately.

The Brookfield name is not used to identify an undisclosed investor or infer a specific institutional commitment. The public fields establish the legal issuer and stated notice status, not the provenance of a future investment.

## Golub: a further pre-sale notice late in the month

[Golub Capital NFG Lending Fund III](https://www.sec.gov/Archives/edgar/data/2157382/000215738226000001/xslFormDX01/primary_doc.xml) filed September 29 as an Other Investment Fund. It reports an indefinite offering, zero sold, zero investors and a first sale yet to occur.

That supports a pre-sale notice snapshot for this vehicle at that date. It does not establish the size of a wider lending program, a final close or a currently open allocation opportunity. Those questions require additional original evidence beyond the notice fields used here.

## Reading the chronology without inventing a trend

[SEC staff's Form D FAQ](https://www.sec.gov/about/divisions-offices/division-corporation-finance/frequently-asked-questions-answers-form-d) explains that a notice may be filed before securities are sold, defines first sale and distinguishes original notices from amendments. All five submissions in this sample are marked as original notices. The captured first-sale values remain essential even when that form designation is the same.

No aggregate September capital-raised number is reported. Mixing historical first-sale records with pre-sale records cannot produce a defensible monthly flow from these snapshots alone. An indefinite offering amount also supplies no finite target for a percentage-funded calculation. The [Altss Form D explanation](https://altss.com/glossary/form-d) supplies broader context.

## Sources

The linked SEC complete submissions and XMLs were captured with their original issuer, accession, filing, acceptance, first-sale and amount fields. Each distinct accession is counted once. Later evidence can update a present-day conclusion; it cannot turn these disclosed historical values into a newly verified September fundraising total.

Public records carry source-specific dates where available. No population-wide measured refresh cadence or universal verification deadline is established here. Page modified, source captured, fact observed, entity verified and aggregate measured describe different events. Check the date attached to the relevant claim; a missing verification date means unknown. Stored source history does not establish a customer-facing historical-analysis interface.
