# UDR preferred equity and loans: what changes at property acquisition

UDR’s 2026 apartment acquisitions show preferred-equity liquidation, loan settlement and mortgage repayment producing different ownership and cash outcomes.

UDR’s June 2026 acquisition of a Santa Monica apartment community brought two existing investments into one owned property. The company already held a secured first-mortgage loan and preferred equity in the venture. Its loan and accrued interest were settled through receipt of ownership interests, while the preferred position was adjusted to its liquidation value, producing a $3.8 million accounting gain.

The same quarter’s filing describes a different route into a Portland property: UDR repaid the venture’s mortgage and settled its preferred investment. The [report filed on July 28 for the quarter ended June 30](https://www.sec.gov/Archives/edgar/data/74208/000007420826000073/0000074208-26-000073-index.htm) supplies a concrete comparison of how real-estate financing claims can end in ownership, with different cash and accounting consequences.

## Santa Monica: an existing lender acquires the property

UDR originally made a $31.1 million secured mortgage loan to the 66-home Santa Monica venture in September 2024. It also held a preferred investment. That original loan amount identifies the earlier financing; it is not the amount of cash paid for the property in June.

In June, UDR acquired the developer’s equity interest and issued $2.8 million of operating-partnership units to the developer. The venture became wholly owned, and UDR began consolidating the community. [Notes 2 and 3 of the filing](https://www.sec.gov/Archives/edgar/data/74208/000007420826000073/udr-20260630x10q.htm) explain both sides of the transition: the mortgage, including accrued interest, was settled in full through ownership interests, and preferred equity was remeasured to liquidation value.

UDR recognized the resulting $3.8 million gain in income from unconsolidated entities. It recorded approximately $45.1 million of real-estate assets and $1.2 million of in-place lease intangibles. Those amounts describe asset recognition and earnings alongside the OP-unit consideration. They are not components to add into a cash purchase price or evidence that the accounting gain was collected in cash.

## Portland: repayment of the venture’s mortgage

The April acquisition involved a 232-home operating community in Portland. On liquidating its venture interest, UDR repaid the joint venture’s $53.4 million first mortgage and settled its own $18.9 million preferred-equity investment. No cash consideration went to the joint-venture partner. That statement concerns the partner payment; the transaction also required the disclosed mortgage repayment.

The community became wholly owned and consolidated. UDR recorded approximately $72.1 million of real-estate assets, $1.2 million of in-place lease intangibles and a $0.3 million consolidation gain. The filing identifies that gain separately from the Santa Monica preferred-equity remeasurement.

The consequential difference is who held the mortgage before the acquisition. Santa Monica’s loan was UDR’s asset, settled through ownership interests. In Portland, UDR paid off the venture’s mortgage while extinguishing its preferred position. A common programme label would conceal that distinction.

## Follow the claim through its exit

UDR’s Debt and Preferred Equity Program includes first mortgages, mezzanine loans, preferred equity and other structured investments. Its disclosure allows fixed yields and, for some investments, participation in property-value increases. Loans are recorded as notes receivable; preferred positions appear in the equity-method investment disclosures. A quoted return alone cannot identify the instrument.

The filing also describes preferred-equity risks: a venture may be unable to redeem the investment or pay the expected return, and protecting a position can require additional capital or taking over property. It does not identify the Santa Monica acquisition as a default or foreclosure.

These acquisitions differ from a [credit-vehicle sale that releases liquidity while retaining borrower exposure](https://altss.com/blog/q3-2026-credit-continuation-vehicles-liquidity-retained-exposure). UDR’s financing claims became exposure through owned real estate. A receivable or preferred balance disappearing from a schedule can therefore accompany continuing property exposure, rather than cash becoming available for another investment.
