# Seed Round

Also called: seed funding · seed stage

A seed round is an early startup financing, often the first led by an institutional investor, used to build and sell the product until the company has the evidence of product-market fit needed to raise a Series A.

Seed money pays for a small team to put a product in front of customers and find out whether they keep using it and paying for it. It is still high risk: many seed-funded companies never reach a Series A. The round may be a priced sale of shares or a set of simple agreements for future equity or convertible notes.

## What seed capital is expected to prove

A seed-stage company usually has a product in the market and is looking for signals that it has found product-market fit: users who stay, revenue that grows without proportional effort, a customer segment that buys for the same reason, and a first hypothesis about how to acquire customers repeatably. The round is sized to reach those signals with time to spare, because the next round ([Series A](https://altss.com/glossary/series-a)) is typically priced on them.

## Priced and unpriced seed rounds

Seed rounds can be unpriced, using [SAFEs](https://altss.com/glossary/safe-simple-agreement-for-future-equity) or [convertible notes](https://altss.com/glossary/convertible-note), or priced, with the company selling a seed series of [preferred stock](https://altss.com/glossary/preferred-stock) at a negotiated price per share. Priced seed preferred usually carries a lighter set of rights than a Series A: a 1x non-participating [liquidation preference](https://altss.com/glossary/liquidation-preference) and basic protective and information rights are common, with fewer governance terms. When a seed round is unpriced, the economics are set by the valuation cap and discount, and the investors' ownership becomes final only when the instruments convert.

## Who invests at seed

Seed money comes from specialist seed funds, [angel investors](https://altss.com/glossary/angel-investor) and angel syndicates, accelerators and the seed programmes of multi-stage firms. A [lead investor](https://altss.com/glossary/lead-investor) commonly sets the cap or price and takes the largest allocation; others follow on identical terms. When a large multi-stage firm invests at seed and then does not lead or join the Series A, other investors may read that as a negative signal, which founders and LPs weigh when a multi-stage firm is on the seed cap table.

## Seed extensions

Companies that need more time before a Series A often raise a seed extension (sometimes called seed-plus or a bridge round), frequently from existing investors on the same or similar terms. Extensions add runway, but stacked unpriced instruments with different caps make the eventual Series A conversion harder to model.

## How LPs evaluate seed managers

Seed fund returns depend on owning enough of the few companies that become very large. LPs therefore examine entry ownership, how much of it survives later rounds ([dilution](https://altss.com/glossary/dilution)), the reserve strategy, and the share of portfolio companies that go on to raise a priced round from a credible lead (often called the graduation rate, a practitioner measure with no standard definition). Early fund marks are driven by subsequent rounds, so a seed fund's interim [TVPI](https://altss.com/glossary/tvpi) mainly shows how its companies have raised, not what they will return.

- [Pre-Seed](https://altss.com/glossary/pre-seed): Pre-seed comes earlier and funds the first product; seed funds the search for product-market fit, usually with an institutional lead.

- [Series A](https://altss.com/glossary/series-a): Series A is normally a priced round of preferred stock sold on evidence of product-market fit; seed is the round that tries to produce that evidence.

## Common mistakes

- Calling seed "the earliest priced venture round". Many seed rounds are unpriced, and pre-seed precedes seed.

- Assuming seed-stage companies are de-risked because they have a product. Many still fail to raise a Series A.

- Adding SAFE caps together as if they were a valuation. A cap is a ceiling on the conversion price, not a price.

- Citing "typical" seed round sizes without a source, geography and date.
