# Sustainable Finance Disclosure Regulation (SFDR)

The Sustainable Finance Disclosure Regulation (SFDR), Regulation (EU) 2019/2088, is the EU law requiring financial market participants, including EU fund managers, to disclose how they treat sustainability risks and impacts, with extra product disclosures under Articles 8 and 9.

SFDR is a disclosure law, not a label. Every financial product must explain how sustainability risks are considered (Article 6). Products that promote environmental or social characteristics (Article 8) or that have sustainable investment as their objective (Article 9) must make further disclosures before and after sale. The market turned these articles into de facto labels. A 2025 proposal would replace them with three product categories; it is not yet law.

## Jurisdiction and status

SFDR is an EU regulation, directly applicable in every member state. It was adopted on 27 November 2019 and has applied since **10 March 2021**, with some articles applying from 29 December 2019 and 1 January 2022. Detailed templates for pre-contractual, website and periodic disclosures are set in Commission Delegated Regulation (EU) 2022/1288 of 6 April 2022, the SFDR regulatory technical standards, which applies from 1 January 2023. Delegated Regulation (EU) 2023/363, applying from 20 February 2023, added disclosure of exposure to EU Taxonomy-aligned fossil gas and nuclear activities.

**Revision (not law):** the Commission proposal of 20 November 2025 (COM(2025) 841, procedure 2025/0361(COD)). The Council agreed its mandate on 24 June 2026 and the European Parliament's Committee on Economic and Monetary Affairs (ECON) adopted its position on 10 September 2026; the plenary vote and trilogues are pending. The current SFDR continues to apply.

## The product disclosure regimes

"Sustainable investment" is defined in Article 2(17): an investment in an economic activity that contributes to an environmental or social objective, does not significantly harm any of those objectives, and whose investee companies follow good governance practices. SFDR also requires entity-level disclosures, including whether and how principal adverse impacts of investment decisions on sustainability factors are considered (Article 4).

## Who is in scope

SFDR applies to "financial market participants" and "financial advisers", a list that includes AIFMs, UCITS management companies, portfolio managers, insurers offering insurance-based investment products and pension providers. For private markets the main subjects are EU AIFMs and the funds they manage or market. Non-EU managers marketing funds into the EU under national private placement regimes commonly provide SFDR product disclosures for those funds as well.

## SFDR in private markets

Article 8 status is widespread among European private equity, infrastructure and real estate funds, and some impact and energy-transition funds are Article 9. LPs with sustainability mandates often require a minimum classification and ask for it to be maintained in a [side letter](https://altss.com/glossary/side-letter). The practical burden falls on portfolio data. A manager that considers principal adverse impacts reports the indicators in Annex I to Delegated Regulation (EU) 2022/1288 and, where information is not readily available, describes the best efforts it used to obtain it, including from investee companies or by making reasonable assumptions (Article 7(2)); for unlisted companies this is one reason industry data initiatives such as the ESG Data Convergence Initiative standardise portfolio-company metrics.

## The 2025 revision proposal

The proposal would replace the Article 8/9 disclosure model with three product categories: **transition**, **ESG basics** and **sustainable**. Each would require at least 70% of investments to align with the category's claim, and sustainability-related claims in product names and marketing communications would be limited to products in the categories (proposed Article 13(2)), except that non-categorised products investing in categorised products could make such claims in marketing communications but not in their names (proposed Articles 9a and 13(3)). The draft would apply 18 months after entry into force, a placeholder that may change. Until it is adopted and applies, managers disclose under the existing articles.

## Legal definition and market usage

"Article 8 fund" and "Article 9 fund" are market labels for products making disclosures under those articles; the regulation itself does not certify or approve sustainability claims. Misaligned claims are a greenwashing risk under SFDR and other EU rules. SFDR is distinct from broader ESG practice and from corporate reporting standards (climate disclosure standards).

## Not the same as

- ESG: ESG is the broad practice of considering environmental, social and governance factors; SFDR is an EU disclosure law about how products describe that practice.

- Climate Disclosure Standards: Climate disclosure standards govern corporate reporting by companies; SFDR governs disclosures by financial market participants about their products.

## Common mistakes

- Calling SFDR a labelling or certification regime. It is a disclosure regime.

- Describing the transition / ESG basics / sustainable categories as in force. They are in a pending proposal.

- Treating Article 6 as a category for funds with no sustainability approach. Every product makes Article 6 disclosures.

- Assuming SFDR is irrelevant to non-EU managers that market funds in the EU.

## Edge cases

- A fund can promote environmental or social characteristics under Article 8 while committing to a minimum share of sustainable investments as defined in Article 2(17).

- Reclassification between Article 8 and Article 9 requires updated disclosures to investors.

### What is the difference between an Article 8 and an Article 9 fund?

An Article 8 product promotes environmental or social characteristics; an Article 9 product has sustainable investment, as defined in Article 2(17), as its objective. Both make prescribed pre-contractual and periodic disclosures.

### Is SFDR being replaced?

A November 2025 Commission proposal would replace Articles 8 and 9 with three product categories (transition, ESG basics, sustainable). It is still in the EU legislative process; the current SFDR applies until any amendment takes effect.
