A US interval fund makes repurchase offers for between 5% and 25% of its outstanding shares at intervals of three, six or twelve months under Rule 23c-3 (an SEC proposal of 30 September 2026 would change how repurchases are scheduled); a European long-term investment fund (ELTIF) under the revised EU ELTIF Regulation must hold at least 55% of its capital in eligible investment assets; a UK long-term asset fund is an open-ended fund for illiquid assets authorised by the Financial Conduct Authority (FCA). Each gives investors a different liquidity profile for similar assets."]},{"heading":"Alternatives, private capital and the EU legal term","paragraphs":["[Private capital](/glossary/private-capital) is a subset of alternatives: the strategies that finance companies and real assets outside public securities markets. Hedge funds are alternatives but not private capital, because they mostly trade listed instruments and offer periodic redemption rights. Listed REITs and listed infrastructure companies are often reported under alternatives or real assets even though they trade daily.","The EU Alternative Investment Fund Managers Directive uses \"alternative\" differently. Under Article 4(1)(a), an [AIF](/glossary/aif) is any collective investment undertaking that raises capital from a number of investors to invest under a defined policy and is not a UCITS. A non-UCITS fund of listed bonds is an AIF in law, though no investor would call it an alternative investment. Regulatory classification and market classification should not be mixed in the same table."]},{"heading":"Private funds are not registered funds","paragraphs":["Most private alternatives in the US are held through private funds. A private fund is not a registered investment company: it relies on an exclusion in section 3(c)(1) (beneficial ownership capped at 100 persons, or 250 for a qualifying venture capital fund, and no public offering) or section 3(c)(7) (owned exclusively by qualified purchasers, no public offering) of the Investment Company Act. Interests are usually sold in private placements under Regulation D, which limits buyers mainly to [accredited investors](/glossary/accredited-investor). Form PF is a confidential report that advisers registered with the Securities and Exchange Commission (SEC) file once their private fund assets reach $150 million (threshold as of 1 October 2026; a joint SEC and Commodity Futures Trading Commission proposal of April 2026 would raise it to $1 billion); it is not a fund registration; individual reports are confidential under Advisers Act section 204(b)(8) and (10), and the SEC publishes aggregate statistics from them. The SEC's Private Fund Statistics, aggregated from those reports, counted 58,891 private funds reported on Form PF in the fourth quarter of 2025, with gross assets of $29.6 trillion and net assets of $19.0 trillion. Those totals cover only the funds of advisers that file Form PF and include hedge funds, so they do not measure any single alternative strategy. Registered alternatives (interval funds, BDCs, non-traded REITs) are a separate route open to retail investors under their own rules."]},{"heading":"Measuring an allocation to alternatives","paragraphs":["Allocation figures depend on whose definition is used and whether unfunded commitments are counted. As one dated example, the NACUBO-Commonfund Study of Endowments for fiscal year 2025 (1 July 2024 to 30 June 2025) reported dollar-weighted allocations of 16.8% to private equity and 15.4% to marketable alternatives across participating US higher-education endowments, and 62.5% to alternatives for institutions with more than $5 billion of assets. Those figures use the study's own category definitions and describe one investor segment in one year; they are not a market-wide norm.","Two measurement issues recur. First, reported NAV covers only drawn capital, so an allocation measured on NAV understates the economic commitment; [unfunded commitments](/glossary/unfunded-commitment) and [commitment pacing](/glossary/commitment-pacing) are tracked alongside it. Second, a fall in listed markets can push the private share above policy limits without any new commitment, the [denominator effect](/glossary/denominator-effect)."]},{"heading":"Reading risk and return","paragraphs":["Most private alternatives are valued by the manager using models or appraisals rather than traded prices. Those valuations move less than market prices, so reported volatility and correlation with listed markets are lower than the economic risk ([return smoothing](/glossary/return-smoothing)). Returns on drawdown funds are measured as money-weighted [IRR](/glossary/irr) and multiples rather than time-weighted returns, which makes direct comparison with index returns unreliable without a method such as the [public market equivalent](/glossary/public-market-equivalent). Dispersion between managers is wide in most private strategies, so the result of an allocation depends heavily on manager selection. Whether an [illiquidity premium](/glossary/illiquidity-premium) exists, and how large it is net of fees, is measured per strategy and period; it is not a property of the category."]}],"classification_rules":["Start from the investor's policy: an exposure is an alternative if the investment policy statement places it outside the listed-equity, investment-grade fixed-income and cash sleeves.","Classify by underlying exposure first and vehicle second, and record both.","Do not use the EU AIF definition as a proxy for the market category.","Treat private capital as a subset of alternatives; hedge funds trading listed instruments are alternatives but not private capital."],"calculation_rules":[],"common_mistakes":["Calling alternatives a single asset class.
