Unlike the GP entity, which is commonly created per fund, the management company is usually a single firm-level entity that persists across fund generations, sometimes with regional subsidiaries."]},{"heading":"Jurisdiction and status","paragraphs":["In the US the management company is usually the entity registered as an investment adviser with the Securities and Exchange Commission (SEC) and files [Form ADV](/glossary/form-adv). An adviser with its principal office and place of business in the US that acts solely as an adviser to qualifying private funds and manages private fund assets of less than $150 million is instead exempt from SEC registration (Rule 203(m)-1(a)); it is an [exempt reporting adviser](/glossary/exempt-reporting-adviser) and still files reports on Form ADV (Rule 204-4(a)). Where a sponsor's advisory entities conduct a single advisory business, SEC staff guidance and the Form ADV instructions let them register on one Form ADV as a filing adviser and relying advisers, each relying adviser listed on its own Schedule R. The conditions include advising only private funds and qualifying separate account clients, supervision and control of the relying advisers by the filing adviser, a single code of ethics, compliance policies and chief compliance officer, and a principal office in the US for the filing adviser; each relying adviser must itself be eligible for SEC registration. In the EU, each alternative investment fund (AIF) managed within the scope of the Alternative Investment Fund Managers Directive has a single [AIFM](/glossary/aifm), which must at least perform portfolio management and risk management; the sponsor's management company may be that AIFM, or the fund may appoint a third-party AIFM (\"ManCo\"), with the sponsor's entity acting as delegated portfolio manager or adviser under the Directive's delegation conditions (Article 20)."]},{"heading":"Economics","paragraphs":["Revenue is mainly the [management fee](/glossary/management-fee), plus transaction, monitoring or other fees where permitted, which limited partnership agreements (LPAs) commonly offset against the management fee (see [fee offset](/glossary/fee-offset)). Academic modelling of buyout and venture fund terms found that about two-thirds of a GP's expected revenue comes from fixed components such as management fees rather than carried interest.
