These vehicles are not separate portfolio companies. The portfolio company's debt is its own obligation, secured on its assets and normally without recourse to the fund or to the fund's other companies, so a failed company costs the fund its investment in that company. The fund values its interest, not the company as a whole: under the [IPEV Valuation Guidelines](/glossary/ipev-valuation-guidelines), the fair value of that position is the price it would fetch in an orderly sale to market participants on the measurement date."]},{"heading":"Control and minority holdings","paragraphs":["In a buyout the fund normally controls the board, approves budgets and appoints the chief executive. In growth equity and venture capital a portfolio company usually has several investors, each with a minority stake and negotiated rights: a board seat or [board observer](/glossary/board-observer) right, consent rights over major decisions, and information rights. The same company can be a controlled holding for one fund and a minority holding for a co-investor or another fund."]},{"heading":"Fees charged to portfolio companies","paragraphs":["Managers and their affiliates may charge portfolio companies transaction fees on acquisitions and financings, monitoring or advisory fees during the hold, and directors' fees. Because the company pays them, they reduce value for all its shareholders, including the fund's LPs. Limited partnership agreements commonly require part or all of such fees to be offset against the management fee (see [management fee offset](/glossary/fee-offset) and [portfolio company fees](/glossary/transaction-fees)). The reporting template of the Institutional Limited Partners Association (ILPA) standardises disclosure of fees paid to the GP, its affiliates and third parties, including fees not subject to offset."]},{"heading":"Reporting on portfolio companies","paragraphs":["LPs receive company-level information in quarterly and annual reports: cost, fair value, realised proceeds and ownership, and often revenue, EBITDA and net debt. ILPA's Reporting Template v2.0 (recommended from Q1 2026) and Performance Template standardise the fund-level fee and performance parts of that reporting. For the company level, ILPA Principles 3.0 recommend quarterly disclosure of portfolio-company valuation information consistent with ILPA's Portfolio Company Metrics Template (2019), with commercially sensitive company information provided separately from fund-level reporting. Many managers also report ESG data, for which the ESG Data Convergence Initiative defines a common metric set covering greenhouse gas emissions, decarbonisation, renewable energy, diversity, work-related accidents, net new hires, employee engagement and cybersecurity. Invest Europe's Professional Standards set conduct expectations for GPs in their dealings with portfolio companies as well as with investors."]},{"heading":"Counting portfolio companies","paragraphs":["Counts depend on conventions that should be stated. A [platform investment](/glossary/platform-investment) and its add-ons are normally one company. A company held by several funds of the same manager, or by a fund and its co-investment vehicles, is one company with several holders. Holding vehicles are not counted. A company that has listed but in which the fund still holds shares remains a holding until fully sold. In private credit and [business development company (BDC)](/glossary/business-development-company) usage, \"portfolio company\" also means a borrower, which is a lending relationship rather than ownership."]},{"heading":"Conflicts around portfolio companies","paragraphs":["Conflicts arise when funds of the same manager hold different securities of one company ([cross-fund investment](/glossary/cross-fund-investment)), when a portfolio company buys services from the manager's affiliates, and when the manager sells a company from one of its funds to another vehicle it manages.
