A search fund is an entrepreneurial vehicle where an operator raises a small pool of capital to search for, acquire, and lead a single private company. Peepal Tree Capital follows this model: the principal raises search capital from a group of aligned investors, then spends two to three years identifying a founder-owned business in the lower middle market. Upon acquisition, the principal becomes CEO of the company, replacing the exiting owner and managing the business for long-term growth.

Decisions are run by the firm's founding principal, who serves as the sole searcher and prospective CEO of the acquired company. The model concentrates sourcing, deal execution, and post-acquisition operating authority in a single individual, supported by an investor group that provides capital and advisory guidance. This differs from a committee-driven private equity firm, where investment decisions are made by partners who do not step into operating roles.

The firm targets profitable, established US-based businesses in the lower middle market where a founder or owner-operator is seeking a succession transition. Ideal acquisition candidates possess durable competitive advantages, recurring or contract-based revenue streams, and management teams willing to operate under new ownership. The mandate excludes startups, distressed turnarounds, and minority stakes, focusing exclusively on control buyouts of stable cash-flowing entities.

The primary difference is the operator-investor alignment. In a traditional fund, general partners manage a pool of capital across multiple portfolio companies and hire external CEOs. Peepal Tree Capital's principal uses a search fund structure to acquire exactly one company and step into the CEO role full-time, creating an indefinite hold period and direct operational control. This eliminates the standard private equity requirement to exit within a five-to-seven-year fund life.

The firm executes only direct control acquisitions. As a search fund, it does not make fund commitments to external managers, invest in other private equity funds, or participate in passive co-investment syndicates. All capital is deployed to acquire and operate a single platform company, making it a pure-play direct investment vehicle.
