1. INTRODUCTION AND DEFINITIONS
1.1 Agreement Overview
Welcome to Altss LLC ("Altss," "Company," "we," "us," or "our"), a data and analytics provider headquartered at 390 NE 191st St STE 8906, Miami, FL 33179. These Terms of Use ("Terms") constitute a legally binding agreement between you (either an individual or an entity, "User," "Customer," "Subscriber," or "you") and Altss governing your access to and use of our website, platform, databases, content, APIs, applications, tools, data feeds, and all other products and services (collectively, the "Services").
1.2 Definitions
For the purposes of these Terms, the following definitions shall apply:
- "Altss Content" means all data, information, reports, analyses, graphs, charts, research, and other content available through the Services, including all compilations, collections, and arrangements thereof.
- "API" means the application programming interfaces.
- "Authorized User" means an individual who is authorized by Subscriber to access and use the Services under Subscriber's account.
- "Confidential Information" means all non-public information disclosed by Altss to Subscriber, or by Subscriber to Altss, whether orally, in writing, or by any other means.
- "Data Provider" means any third party that provides data or information to Altss for inclusion in the Services.
- "Documentation" means any user guides, help files, or other documentation provided by Altss in connection with the Services.
- "Fund" means any investment vehicle, including but not limited to private equity funds, venture capital funds, hedge funds, real estate funds, infrastructure funds, debt funds, funds of funds, and any other pooled investment vehicle.
- "Fund Manager" means any entity or individual responsible for managing a Fund, including general partners, investment advisers, and portfolio managers.
- "Fund Performance Data" means any data or information related to the performance, returns, valuations, multiples, or other financial metrics of Funds.
- "Intellectual Property Rights" means all patents, copyrights, trademarks, trade secrets, database rights, and other intellectual property rights, whether registered or unregistered.
- "Limited Partner" means any investor in a Fund, including institutional investors, family offices, high net worth individuals, and other entities or individuals who commit capital to Funds.
- "Order Form" means any ordering document, including online registration forms, that specifies the Services to be provided to Subscriber.
- "Subscriber Data" means any data, information, or content submitted by Subscriber to the Services.
- "Subscription Fee" means the fees payable by Subscriber for access to the Services.
- "Subscription Term" means the period during which Subscriber has the right to access and use the Services.
- "Third-Party Content" means any data, information, or content provided by third parties and made available through the Services.
- "User Content" means any information, data, text, or other materials that you upload, submit, display, or otherwise make available through the Services.
1.3 Acceptance of Terms
By accessing, browsing, or using our Services, registering for an account, clicking on an "I Agree" button, or otherwise signifying your acceptance of these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you are accessing or using the Services on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case the terms "you" or "your" shall refer to such entity.

2. ELIGIBILITY AND REGISTRATION
2.1 Eligibility Requirements for Fund Data Access
You must be at least 18 years old and capable of forming a legally binding contract under applicable law to use our Services. By using our Services, you represent and warrant that you meet all eligibility requirements. If you are using the Services on behalf of an entity, you further represent and warrant that such entity is duly organized and existing under applicable laws.
Additionally, due to the nature of fund performance data and financial information accessed through our Services, you represent and warrant that:
- You are a qualified professional working in the financial services, investment management, fund administration, or related industry
- You have a legitimate business purpose for accessing fund performance data and financial information
- You possess sufficient financial sophistication to properly interpret and utilize fund performance data
- You understand the limitations, biases, and potential inaccuracies inherent in fund performance data
- You will comply with all applicable securities laws, regulations, and industry standards in your use of fund performance data
- You will not use fund performance data for any unlawful purpose or in a manner that could harm Altss, its data providers, or the funds and managers represented in the data
- You have implemented appropriate controls to prevent unauthorized access to or misuse of fund performance data
Altss reserves the right to verify your professional credentials, employment status, or other qualifications at any time. If Altss determines, in its sole discretion, that you do not meet the eligibility requirements for accessing fund performance data, Altss may immediately terminate your access to the Services without refund of any fees paid.
2.2 Account Registration
To access certain features of our Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information about yourself and your organization as prompted by the registration process. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password, and for any and all activities that occur under your account.
2.3 Verification Process
Altss may, in its sole discretion, verify the information provided during registration. This verification process may include requesting additional documentation or information. You agree to cooperate with any such verification processes. Failure to provide requested information or documentation may result in suspension or termination of your account.
2.4 Account Security Obligations
You agree to:
- Maintain the security and confidentiality of your login credentials
- Immediately notify Altss of any unauthorized use of your account or any other breach of security at security@altss.com
- Ensure that you exit from your account at the end of each session
- Use a strong, unique password for your Altss account and change it periodically
- Implement appropriate administrative, technical, and physical safeguards to protect your login credentials
2.5 Account Types and User Access
Altss offers different types of accounts based on subscription level. Enterprise accounts may designate multiple authorized users. You are responsible for managing authorized user access and ensuring that all authorized users comply with these Terms. You agree to immediately revoke access for any authorized user who ceases to be employed by or associated with you.
3. SUBSCRIPTION PLANS AND PAYMENT TERMS
3.1 Subscription Options
Altss offers various subscription plans to access the Services. Details of such subscription plans, including fees, features, and limitations, will be provided during the registration process or through our website. All subscriptions are subject to availability, and we reserve the right to modify, terminate, or otherwise update subscription plans at any time.
Each subscription plan has specific usage limits and access restrictions designed to protect our data and prevent unauthorized bulk data extraction. These limits may include, but are not limited to, restrictions on the number of searches, reports, exports, or records that may be accessed within a given time period. Altss may implement additional technical measures to enforce these limits and to detect patterns of usage that appear to be designed to circumvent such limits.
Premium features, enhanced data sets, increased usage limits, custom reports, or specialized analytics may be available for additional fees beyond your base subscription. Such additional options and features will be billed separately from your base subscription at their respective rates.
3.2 Fees and Payment Terms
All fees for Services are due upfront unless explicitly stated otherwise in a separate written agreement signed by an authorized representative of Altss. Payments may be made by credit card, wire transfer, or other payment methods approved by Altss. You authorize Altss to charge the payment method provided for all applicable fees.
Late payments will incur a late fee of 2% of the outstanding amount per month (or the maximum rate permitted by law, if less) from the date such payment was due until the date paid. Continued failure to pay fees when due may result in suspension or termination of your access to the Services.
ALL PAYMENT OBLIGATIONS ARE NON-CANCELABLE, AND ALL FEES PAID ARE ABSOLUTELY NON-REFUNDABLE UNDER ANY CIRCUMSTANCES, except where refunds are expressly required by applicable law. By agreeing to these Terms, you acknowledge and accept that all payments to Altss are final and that no refunds will be issued regardless of your level of use of the Services.
Additional options, features, data sets, or premium content not included in your base subscription will be billed separately at the then-current rates. You will be notified of any such additional charges before they are incurred.
3.3 Taxes
All fees are exclusive of all taxes, levies, or duties imposed by taxing authorities, and you shall be responsible for payment of all such taxes, levies, or duties associated with your subscription, excluding only United States (federal or state) taxes based solely on Altss's net income.
3.4 Price Changes
We reserve the right to change our prices at any time. Price changes for existing subscriptions will be effective upon renewal of the subscription term. Altss will provide reasonable notice of any price change by posting it on our website, through the Services, or by sending you an email.
3.5 Subscription Term and Automatic Renewal
The initial term of your subscription begins on the date of your initial payment or the date you accept a sales order, whichever is earlier ("Effective Date"), and continues for the subscription period specified in your order. UNLESS OTHERWISE STATED IN AN APPLICABLE SALES ORDER, ALL SUBSCRIPTIONS WILL AUTOMATICALLY RENEW FOR PERIODS EQUAL TO THE EXPIRING SUBSCRIPTION TERM UNLESS EITHER PARTY GIVES THE OTHER WRITTEN NOTICE OF NON-RENEWAL AT LEAST THIRTY (30) DAYS BEFORE THE END OF THE RELEVANT SUBSCRIPTION TERM.
3.6 Free Trials and Promotional Offers
Altss may offer free trials or promotional offers which may be subject to additional terms or restrictions. Any such additional terms will be presented to you at the time of sign-up for the free trial or promotional offer. Altss reserves the right to modify or terminate free trials or promotional offers at any time without notice.
3.7 Payment Disputes
If you dispute any charges, you must notify Altss in writing within thirty (30) days of the invoice date at info@altss.com, providing all relevant information regarding the dispute. Disputes must be made in good faith and include a detailed description and supporting documentation.
4. LICENSE GRANTS AND RESTRICTIONS FOR FUND DATA ACCESS
4.1 Limited License to Services
Subject to your compliance with these Terms and payment of all applicable fees, Altss grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services during the subscription term solely for your internal business purposes. This license is conditioned on your continued compliance with all terms and restrictions specified in these Terms, and may be revoked by Altss at any time in the event of any violation of such terms or restrictions.
4.2 Content License
Subject to your compliance with these Terms and payment of all applicable fees, Altss grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, view, copy, and print content from the Services ("Altss Content") solely for your internal business purposes. All rights not expressly granted herein are reserved by Altss and its licensors.
4.3 Restrictions on Use
Customer shall not, directly or indirectly, and shall not permit any third party to: (i) reverse engineer, decompile, disassemble, decrypt, extract, or otherwise attempt to discover the source code, object code, underlying structure, ideas, know-how, algorithms, file formats, programming interfaces, or any other aspects of the Services or any related software, documentation, or data ("Software"); (ii) modify, translate, adapt, alter, or create derivative works based on the Services or Software (except to the extent expressly permitted by Altss in writing or explicitly enabled within the Services); (iii) use, copy, distribute, sublicense, lease, rent, loan, transfer, assign, or otherwise make available the Services or Software to any third party, or use the Services or Software for timesharing, service bureau, subscription service, hosting, or outsourcing purposes, or otherwise for the benefit of any third party; (iv) remove, delete, alter, or obscure any trademarks, warranties, disclaimers, or proprietary notices or labels from the Services or Software; (v) circumvent, disable, or interfere with security-related features of the Services or features that prevent or restrict use or copying of any content; (vi) use any automated means, including without limitation robots, scrapers, or data mining tools, to monitor, extract, copy, or scrape data from the Services; (vii) interfere with or disrupt the integrity or performance of the Services or the data contained therein; (viii) attempt to gain unauthorized access to the Services or its related systems or networks; (ix) use the Services to build or augment a competing product or service; or (x) exceed any usage limitations or quotas specified in the applicable Order Form or documentation. Any future release, update, or other addition to functionality of the Services shall be subject to these Terms.
In addition, you agree not to:
- Competitive Uses:
- Use the Services to build a competitive product or service
- Create, develop, or support any software, service, product, or tool that is competitive with or similar to the Services
- Use the Services to analyze or evaluate Altss's business model, features, or functionality for competitive purposes
- Data Misuse:
- Sell, resell, rent, lease, loan, sublicense, distribute, or otherwise transfer the Services or Altss Content to any third party
- Create derivative databases, compilations, or works based on the Altss Content
- Systematically extract, download, store, or archive substantial portions of Altss Content
- Publish, distribute, or disclose any Altss Content to any third party except as expressly permitted by these Terms
- Use Altss Content to create or enhance a database, directory, or similar resource for commercial exploitation
- Use Altss Content in any external materials without proper attribution as specified in Section 8.4
- Subscription and Account Abuse:
You may not export, download, or transfer data from the Services to external systems (including but not limited to CRM systems, spreadsheets, or external databases) except through explicitly authorized interfaces and only in accordance with applicable usage limits. You may not attempt to use browser extensions, scripts, automation tools, or any scraping or parsing technology to extract Altss Content.
- Share your login credentials with any third party or allow any third party to access your account This includes account sharing within teams or organizations under a single-user license. Each user must have a separate licensed account.
- Create multiple accounts to avoid payment of fees or to circumvent usage limitations
- Use the Services in a manner that exceeds reasonable request volume, constitutes excessive or abusive usage, or otherwise fails to comply with these Terms
- Create internet "links" to or from the Services or "frame" or "mirror" any Altss Content on any other server or wireless or internet-based device
- Engage in any form of data scraping, automated data collection, or bulk data extraction from the Services
- Use any software, script, bot, or other automated means to access or interact with the Services
- Attempt to circumvent any usage limits, restrictions, or technical measures implemented to protect our data
- Fund Data Specific Restrictions:
- Use Fund Performance Data to make investment decisions without conducting additional due diligence
- Present Fund Performance Data without appropriate contextual information and disclaimers
- Use Fund Performance Data for marketing purposes without proper attribution
- Combine or blend Fund Performance Data with data from other sources in a manner that misrepresents the source or accuracy of the data
- Use Fund Performance Data to create rankings or ratings without explicit written permission from Altss
- Extract contact information for cold solicitation, mass outreach, or non-targeted marketing purposes
- Use the Services to engage in any form of front-running, insider trading, or other improper trading practices
- Create or distribute investment advice, recommendations, or solicitations based solely on Fund Performance Data
- Legal and Regulatory Compliance:
- Use the Services for any illegal purpose or in violation of any applicable laws or regulations
- Use the Services to store or transmit malicious code or infringing, libelous, defamatory, or otherwise unlawful material
- Use the Services in any manner that violates securities laws, investment adviser regulations, or other financial regulations
- Use the Services in any manner that violates privacy laws, data protection regulations, or anti-spam laws
- Use the Services in any manner that would subject Altss to any liability or potential liability
- Content Restrictions:
- Submit User Content that violates any third-party rights, including intellectual property rights, privacy rights, or publicity rights
- Submit User Content that is false, misleading, or deceptive
- Submit User Content that is defamatory, obscene, pornographic, vulgar, offensive, or otherwise inappropriate
- Submit User Content that promotes discrimination, bigotry, racism, hatred, harassment, or harm against any individual or group
- Submit User Content that promotes illegal or harmful activities or substances
Any use of the Services not expressly permitted by these Terms is a breach of these Terms and may violate copyright, trademark, and other laws.
Data Scraping Monitoring and Enforcement:
Altss implements sophisticated monitoring systems to detect patterns of usage that appear to be designed to scrape, harvest, or bulk download our valuable data. Such usage patterns include, but are not limited to:
- Abnormally high frequency of requests
- Systematic and sequential browsing patterns
- Excessive data exports or downloads
- Multiple sessions with similar browsing patterns
- Requests from suspicious IP addresses or locations
- Use of known web scraping tools or technologies
- Circumvention attempts of our technical protection measures
If Altss detects what it reasonably believes to be scraping activity or automated data collection, Altss may, in its sole discretion and without notice:
- Immediately terminate your account and subscription
- Block your access to the Services
- Retain all fees paid (NO REFUNDS will be issued)
- Pursue legal remedies for damages
- Implement additional technical measures to prevent further unauthorized access
You acknowledge that Altss's data is a valuable asset, and unauthorized bulk extraction causes substantial harm to our business. By using the Services, you consent to our monitoring of your usage patterns to detect potential violations of these Terms.
4.4 Usage Limits and Access Restrictions
To protect our valuable data and ensure equitable access for all subscribers, Altss imposes various usage limits and access restrictions. These limitations are designed to prevent automated data harvesting while allowing legitimate business use of the Services. The specific limits applicable to your subscription tier will be provided during the registration process or in your subscription documentation. Such limits may include:
- Maximum number of searches per day, week, or month
- Maximum number of records that can be viewed or accessed per day
- Maximum number of reports that can be generated or exported
- Maximum number of downloads or exports permitted
- Restrictions on the volume of data that can be exported
- Cooling-off periods between certain high-volume activities
- Session timeout parameters
- Concurrent session limitations
- Restrictions on the rate of consecutive requests
- Limitations on bulk operations
Altss reserves the right to modify these limits at any time to protect the integrity and value of our data. Attempts to circumvent these limits through technical means, multiple accounts, or other methods will be considered a material breach of these Terms.
Altss does not provide API access to the Services. Any attempt to create unofficial or unauthorized API access to the Services is strictly prohibited and will result in immediate termination of your account without refund.
4.5 Compliance
Customer represents, warrants, and covenants that it will use the Services only in compliance with Altss's standard published policies, as updated from time to time (the "Policy"), all Documentation, and all applicable laws, regulations, and industry standards, including, without limitation, laws regarding privacy, data protection, intellectual property, international communications, and transmission or export of technical or personal data. Customer agrees to comply with all applicable anti-corruption, anti-bribery, anti-terrorism, economic sanctions, and anti-money laundering laws.
Customer hereby agrees to indemnify, defend, and hold harmless Altss and its officers, directors, employees, agents, affiliates, successors, and permitted assigns from and against any and all losses, damages, liabilities, deficiencies, actions, judgments, settlements, interest, awards, penalties, fines, costs, or expenses of whatever kind, including reasonable attorneys' fees, that are incurred by Altss arising out of or resulting from: (a) Customer's breach or non-fulfillment of any representation, warranty, covenant, or obligation under these Terms; (b) Customer's use of the Services in an unlawful manner or in violation of these Terms or the Policy; (c) any negligent or more culpable act or omission of Customer or its personnel in connection with the performance of its obligations under these Terms; or (d) any bodily injury, death of any person, or damage to real or tangible personal property caused by Customer's acts or omissions.
Although Altss has no obligation to monitor Customer's use of the Services, Altss may do so and may prohibit any use of the Services it believes may be (or is alleged to be) in violation of the foregoing. Customer agrees that Altss may suspend or terminate Customer's access to and use of the Services if Altss reasonably believes that Customer has violated these Terms or if Altss believes that Customer's use poses a security risk. Altss shall have no liability for any such suspension or termination.
4.6 Equipment, Security, and Data Protection
Customer is solely responsible for obtaining, maintaining, and ensuring the compatibility of all equipment, software, and ancillary services necessary to access or use the Services (e.g., modems, hardware, servers, software, operating systems, networking, web servers, internet connectivity, and telecommunications) and ensuring that such equipment and services meet the minimum technical requirements specified in the Documentation. Altss shall have no responsibility for any difficulties, unavailability, or other issues arising from incompatibility between the Services and any Customer equipment or services.
Customer is solely responsible for implementing and maintaining the security of its equipment, networks, accounts, passwords (including administrative and user passwords), access credentials, and files, as well as all uses of Customer's account or equipment with or without Customer's knowledge or consent. Customer shall employ industry-standard security measures to protect its systems and data used in connection with the Services. Such measures shall include, at minimum: (i) strong password requirements; (ii) regular password rotation; (iii) restricted access to authorized personnel; (iv) use of firewalls and up-to-date antivirus software; and (v) regular security assessments.
Customer shall immediately notify Altss of any unauthorized access to or use of Customer's account or credentials, any other breach of security, or any use of the Services in violation of these Terms. Altss shall not be liable for any losses, damages, or consequences incurred by Customer or any third party that arise from unauthorized access to Customer's account, credentials, or equipment, whether such unauthorized access is due to hacking, password mining, social engineering, or any other means.
Customer acknowledges that its use of the Services may involve the transmission of Customer's data, including personally identifiable information, to Altss's servers and systems. Customer represents and warrants that it has obtained all necessary rights, consents, and permissions to transmit such data to Altss and permit Altss to process such data in accordance with these Terms and Altss's Privacy Policy. Customer is solely responsible for ensuring that its use of the Services and its data processing instructions to Altss comply with all applicable data protection and privacy laws.
4.7 Prohibited Parsing, Export, and Data Misuse
To preserve the integrity, commercial value, and security of our proprietary data, the following activities are strictly prohibited:
- Exporting data to CSV, spreadsheets, CRM systems, or external databases unless explicitly authorized in writing.
- Sharing API keys or attempting to create unauthorized API endpoints.
- Parsing or programmatically extracting any part of the platform using custom scripts, bots, browser extensions, or automated tools.
- Circumventing user interface limitations or rate limits.
- Storing or transmitting any Altss Content outside of approved environments.
- Creating mirror datasets, local archives, or derivative databases from Altss Content.
Violations will result in immediate termination of access without refund, legal action for breach of contract and misappropriation of trade secrets, and potential pursuit of damages. Altss reserves the right to monitor and audit user behavior, including via seeded content and technical fingerprinting, to detect prohibited activities.
Altss does not issue or support API keys for any public or private use. Any attempt to generate, simulate, or exploit API-like access is strictly prohibited.
5. USER CONTENT AND FUND DATA SUBMISSIONS
5.1 User Content
You retain all rights to any information, data, text, or other materials that you upload, submit, display, or otherwise make available through the Services ("User Content"). By submitting User Content, you grant Altss a worldwide, non-exclusive, royalty-free license to use, copy, modify, create derivative works based upon, publicly display, and distribute such User Content for the purposes of providing and improving the Services.
5.2 Responsibility for User Content
You are solely responsible for your User Content and the consequences of posting or publishing it. You represent and warrant that (i) you own or have the necessary rights to all User Content you submit and (ii) such User Content does not violate the rights of any third party, including intellectual property rights, privacy rights, or publicity rights.
5.3 Fund Data Usage and Analysis by Altss
Altss may collect, analyze, and process data relating to your use of the Services, including User Content, fund performance data you submit, and information about your interactions with the platform. This data may be used by Altss in an aggregate and anonymized format for the following purposes:
- Operating, maintaining, and improving the Services and fund data repositories
- Developing new products, services, and fund performance analytics
- Enhancing existing fund performance benchmarks and creating new benchmark categories
- Generating and publishing industry research, fund performance reports, benchmarks, white papers, market trends, or similar analytical information
- Deriving investment insights, market trends, and sector analysis from aggregated fund data
- Creating proprietary fund performance indices, scoring systems, and analytical frameworks
- Performing statistical analysis on fund performance, investment strategies, and market conditions
- Identifying correlations, patterns, and anomalies within fund performance data sets
- Improving data normalization, standardization, and cleaning methodologies
- Internal operations, including troubleshooting, data analysis, testing, research, and service improvement
- Training and improving machine learning models for fund performance prediction and analysis
- Developing and refining fund categorization and classification methodologies
- Improving data visualization and presentation of complex fund performance metrics
- Market sizing and segment analysis for various investment categories
- Tracking and analyzing investment flow patterns across different fund types and strategies
By submitting any fund performance data or User Content to the Services, you expressly grant Altss the right to use such data for all of the above purposes. You acknowledge that Altss owns all derivative works, compilations, and analyses created from aggregated and anonymized data, even if such data originally included information submitted by you.
5.4 Backups and Data Recovery
Altss implements reasonable backup procedures for data stored through the Services but does not guarantee the availability, accuracy, or recoverability of any data. You are solely responsible for maintaining independent backups of any User Content you submit to the Services.
6. INTELLECTUAL PROPERTY RIGHTS
6.1 Ownership of Services
The Services, including all content, features, functionality, software, algorithms, methodologies, materials, information, data, text, graphics, images, audio, video, look-and-feel, design, layout, organization, presentation, user interface, and other elements of the Services, as well as trademarks, service marks, and logos contained therein ("Altss Materials"), are owned by Altss, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
6.2 Ownership of Altss Content and Fund Performance Data
All data, information, reports, analyses, graphs, charts, research, and other content available through the Services, including all compilations, collections, and arrangements thereof ("Altss Content"), are owned by Altss or its data providers and licensors. This includes, but is not limited to:
- All fund performance data, regardless of source or submission method
- All benchmarks, indices, and comparative analytics
- All fund manager profiles and track records
- All limited partner profiles and investment preferences
- All market intelligence and investment trend analyses
- All deal and transaction data
- All fund terms and conditions information
- All capital raising and deployment statistics
- All valuation and multiple calculations
- All proprietary scoring systems and rating methodologies
- All data visualization tools and interfaces
- All fund categorization and classification schemas
- All proprietary algorithms and analytical methodologies
- All data normalization and standardization frameworks
- All custom reports and dashboard configurations
- All portfolio construction and optimization tools
Altss Content may be protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. Altss invests substantial resources in collecting, organizing, normalizing, analyzing, and presenting fund performance data and related financial information. All rights not expressly granted to you in these Terms are reserved by Altss and its licensors.
6.3 No Implied Licenses
Nothing in these Terms shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Altss Materials or Altss Content without the prior written permission of Altss or the respective rights holder. Any rights not expressly granted herein are reserved.
6.4 Feedback
If you provide Altss with any feedback, suggestions, ideas, improvements, or other information related to the Services ("Feedback"), you hereby assign to Altss all rights in such Feedback and agree that Altss shall have the right to use and implement such Feedback in any manner without restriction, acknowledgment, or compensation to you.
6.5 Copyright Infringement and DMCA Policy
Altss respects the intellectual property rights of others and expects users of the Services to do the same. Altss will respond to notices of alleged copyright infringement that comply with applicable law. You acknowledge that fund performance data may be subject to inherent limitations, including selection bias, survivorship bias, and reporting delays. Altss uses reasonable efforts to validate and verify fund performance data, but cannot guarantee that all data is free from errors or omissions. You agree to exercise your own independent judgment when evaluating fund performance data and to conduct your own due diligence before making any investment decisions.
8.3 Benchmarking and Comparative Fund Data
Altss may provide benchmarking data, peer group analysis, and industry comparisons as part of the Services. Such comparative data is derived from anonymized and aggregated information across multiple funds and investment vehicles with similar characteristics, including:

You acknowledge that benchmark construction methodologies may vary, and different benchmarks may yield different results. Altss reserves the right to modify its benchmark construction methodologies at any time without notice.
8.4 Citations, Attribution, and External Usage
When using Altss Content, including any fund performance data, benchmarking data, or market analysis, in external presentations, reports, pitch decks, marketing materials, investor communications, or other materials, you must adhere to the following citation and attribution requirements:
- Required Attribution Format: All external usage must include the following attribution in a clearly visible location: "Source: Altss LLC, [relevant date]" where [relevant date] refers to the date the data was retrieved from the Services.
- Presentation Requirements:
- Attribution must appear on the same page or slide as the Altss Content
- Attribution must be in a readable font size (no smaller than 8-point font)
- Attribution must not be obscured, minimized, or placed in a location that makes it difficult to notice
- Modification Restrictions:
- You may not alter, manipulate, or modify any Altss Content in a way that could lead to misinterpretation of the data

Altss offers various premium features and enhanced capabilities beyond the standard subscription plans. These additional features are designed to provide enhanced value for subscribers with specialized needs and are billed separately from your base subscription. Such premium features may include, but are not limited to:

- Specialized data sets not included in standard subscriptions
- Advanced performance metrics and proprietary calculations

- Prohibited Contact Uses:
- Cold Solicitation: You may not use contact information to send unsolicited communications, marketing materials, or sales pitches unless you have a pre-existing business relationship with the recipient or have obtained explicit consent.

By using AI-powered features within the Services, you acknowledge that AI is an evolving technology with inherent limitations and uncertainties. You agree to use AI outputs as one of multiple information sources for your decision-making process rather than as the sole determinant. Altss makes no representations or warranties regarding the accuracy, reliability, or suitability of AI-generated outputs for specific purposes.
9. THIRD-PARTY SERVICES, CONTENT, AND FUND DATA SOURCES
9.1 Third-Party Services
The Services may contain links to third-party websites, applications, or services ("Third-Party Services"). Altss does not control or endorse any Third-Party Services and is not responsible for their availability, accuracy, content, advertising, products, services, or other materials. Your use of Third-Party Services is subject to the privacy policies and terms of use of the third-party providers.
9.2 Third-Party Fund Data and Information Sources
The Services may include fund performance data and financial information obtained from various third-party sources ("Third-Party Fund Data"), including but not limited to:
- Public regulatory filings and disclosures
- Fund managers and general partners
- Limited partners and institutional investors
- Fund administrators and service providers
- Industry associations and trade groups
- Data sharing partnerships with financial institutions
- Financial information services and data vendors
- Public databases and information repositories
- Industry publications and news sources
- Financial statements and annual reports
- Offering memoranda and marketing materials
- Investor communications and quarterly letters
- Capital call and distribution notices
- Portfolio company financial data
- Industry conferences and presentations

While Altss makes reasonable efforts to ensure the accuracy and reliability of Third-Party Fund Data through validation, normalization, and quality control processes, Altss does not guarantee its accuracy, completeness, timeliness, or reliability. Fund performance data, by its nature, is subject to various limitations, potential biases, and methodological challenges. Different data sources may employ different calculation methodologies, valuation practices, and reporting conventions, which can result in inconsistencies.
You acknowledge that Altss is not responsible for any inaccuracies, errors, omissions, or methodological limitations in Third-Party Fund Data. Altss does not independently audit or verify all third-party information and relies on the accuracy of information provided by third parties. Different funds may report performance using different metrics, time periods, and methodologies, making direct comparisons challenging in some cases.
You agree to exercise your own independent judgment when interpreting and utilizing Third-Party Fund Data and to consider the inherent limitations of such data in your analysis and decision-making processes. You acknowledge that apparent discrepancies in fund performance data may result from differences in calculation methodologies rather than actual performance differences.
9.3 Integrations
Altss may provide integrations with third-party services as part of the Services. Altss does not guarantee the continued availability of such integrations and may modify or discontinue any integration at any time without notice. Your use of any integration is at your own risk and subject to any applicable terms and conditions between you and the third-party service provider.
10. REPRESENTATIONS AND WARRANTIES
10.1 Mutual Representations and Warranties
Each party represents and warrants that: (i) it has the legal power and authority to enter into these Terms; and (ii) it will comply with all applicable laws and regulations in its performance under these Terms.
10.2 User Representations and Warranties for Fund Data Usage
You represent and warrant that:
- All information provided in connection with your registration and use of the Services is true, accurate, current, and complete
- Your use of the Services will comply with all applicable laws, regulations, and industry standards
- You have obtained all necessary rights, consents, and permissions to submit User Content to the Services
- You have implemented appropriate security measures to prevent unauthorized access to your account
- You will not use the Services for any fraudulent, deceptive, or unlawful purpose
- You will pay all fees as they become due, including the 2% monthly fee
- You acknowledge that all fees are non-refundable as stated in Section 3.2
- You have the legal authority to access and use fund performance data for your intended purposes
- Any fund performance data you submit to the Services is accurate and obtained through legitimate means
- You will not manipulate, misrepresent, or selectively present fund performance data in a misleading manner
- You will comply with all securities laws and regulations applicable to the presentation of investment performance data
- You will maintain appropriate confidentiality of fund performance data accessed through the Services
- You will not use fund performance data to engage in any form of market manipulation or unfair competition
- You will not make investment recommendations or provide investment advice based solely on fund performance data without appropriate disclaimers
- You will not create derivative databases or competing products using data accessed through the Services
- You will properly attribute Altss as the source of fund performance data in accordance with Section 8.4
- You will notify Altss promptly if you become aware of any inaccuracies or errors in fund performance data
- You will not access or attempt to access fund performance data beyond the scope of your subscription
- You understand and acknowledge that past performance is not indicative of future results
- You will not use fund performance data for any purpose other than as expressly permitted by these Terms
10.3 Altss Limited Warranty
Altss warrants that the Services will perform materially in accordance with the documentation provided by Altss. Your exclusive remedy for breach of this warranty shall be the repair or replacement of the non-conforming Services, or, if repair or replacement is not commercially practicable, termination of your subscription and a refund of any prepaid, unused fees for the non-conforming Services.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALTSS EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, ALTSS SPECIFICALLY DISCLAIMS ALL WARRANTIES REGARDING FUND PERFORMANCE DATA. ALTSS MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY FUND PERFORMANCE DATA PROVIDED THROUGH THE SERVICES. FUND PERFORMANCE DATA MAY BE SUBJECT TO VARIOUS BIASES, LIMITATIONS, AND POTENTIAL ERRORS, INCLUDING BUT NOT LIMITED TO:

IN NO EVENT SHALL THE AGGREGATE LIABILITY OF ALTSS, ITS AFFILIATES, AND THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES EXCEED THE TOTAL AMOUNT PAID BY YOU TO ALTSS FOR THE SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS OF LIABILITY IN THIS SECTION SHALL APPLY TO ANY THEORY OF LIABILITY, INCLUDING THOSE BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF ALTSS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

You agree to defend, indemnify, and hold harmless Altss, its affiliates, and their respective officers, directors, employees, agents, suppliers, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and costs) arising out of or in any way connected with:
- Your access to or use of the Services
- Your violation of these Terms
- Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
- Your User Content or any content that you access, submit, post, transmit, or make available through the Services
- Any misrepresentation made by you
- Your violation of any applicable law, rule, or regulation
Altss reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with Altss in asserting any available defenses.
14. TERM AND TERMINATION
14.1 Term
These Terms commence on the date you first accept them or access the Services, whichever is earlier, and continue until all subscriptions hereunder have expired or been terminated.
14.2 Termination by You
You may terminate your account and these Terms at any time by providing written notice to Altss at info@altss.com. Such termination will be effective at the end of your then-current subscription term. Termination does not relieve you of your obligation to pay any fees accrued or payable to Altss prior to the effective date of termination. To be absolutely clear, termination or cancellation of your account does not entitle you to any refund of fees already paid, as all fees are non-refundable as stated in Section 3.2. You will continue to be charged the applicable fees until the end of your current subscription term, regardless of whether you continue to use the Services during that period.
14.3 Termination by Altss
Altss may terminate these Terms and your access to the Services immediately upon written notice to you for any of the following reasons:
- You breach any provision of these Terms and fail to cure such breach within 30 days after receiving written notice of the breach
- You fail to pay any fees when due
- You become the subject of a bankruptcy, insolvency, receivership, liquidation, assignment for the benefit of creditors, or similar proceeding
- You violate any applicable laws or regulations in connection with your use of the Services
- Provision of the Services to you becomes unlawful
- You use the Services in a fraudulent or improper manner
14.4 Effect of Termination
Upon termination of these Terms for any reason:
- Your right to access and use the Services will immediately cease
- You will pay all fees due and payable to Altss
- You will cease all use of Altss Content and delete all copies thereof in your possession or control
- All payment obligations accrued prior to termination and Sections 6 (Intellectual Property Rights), 7 (Confidentiality and Data Protection), 10 (Representations and Warranties), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14.4 (Effect of Termination), and 15 (General Provisions) shall survive termination
14.5 Data Retention and Deletion
Following termination, Altss may retain your information and User Content for a commercially reasonable period of time for backup, archival, audit, or legal purposes. Altss will delete or anonymize your information in accordance with our Privacy Policy and applicable laws.
15. GENERAL PROVISIONS
15.1 Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
15.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be settled by binding arbitration administered by JAMS (Judicial Arbitration and Mediation Services) pursuant to its Comprehensive Arbitration Rules and Procedures. The arbitration shall be conducted by a single arbitrator with experience in software as a service (SaaS), financial data services, and intellectual property matters, and shall be conducted in Wilmington, Delaware. The arbitrator shall apply Delaware law to the merits of any dispute, without reference to conflicts of law rules. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. Either party may seek any interim or preliminary relief from a court of competent jurisdiction in Delaware necessary to protect its rights pending the completion of arbitration. The prevailing party in any arbitration shall be entitled to an award of its reasonable attorneys' fees and costs.
15.3 Class Action Waiver
Any proceedings to resolve or litigate any dispute in any forum will be conducted solely on an individual basis. Neither you nor Altss will seek to have any dispute heard as a class action, private attorney general action, or in any other proceeding in which either party acts or proposes to act in a representative capacity. No arbitration or proceeding will be combined with another without the prior written consent of all parties to all affected arbitrations or proceedings.
15.4 Injunctive Relief
Notwithstanding the foregoing, Altss may seek injunctive or other equitable relief to protect its intellectual property rights or Confidential Information in any court of competent jurisdiction.
15.5 Entire Agreement
These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Altss concerning the Services and supersede all prior or contemporaneous communications, proposals, and agreements, whether electronic, oral, or written, between you and Altss regarding the Services.
15.6 Waiver
The failure of Altss to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any provision of these Terms shall be effective unless in writing and signed by an authorized representative of Altss.
15.7 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable for any reason, such provision shall be modified to the extent necessary to make it enforceable while preserving its intent. If such modification is not possible, the provision shall be severed from these Terms. The invalidity of any provision of these Terms shall not affect the validity of any remaining provisions.
15.8 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without the prior written consent of Altss. Any attempt by you to assign or transfer these Terms without such consent will be null and void. Altss may freely assign or transfer these Terms without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties, their successors, and permitted assigns.
15.9 Relationship of the Parties
Nothing in these Terms shall be construed to create a partnership, joint venture, agency, or employment relationship between you and Altss. Neither party shall have the authority to act on behalf of or bind the other party in any way.
15.10 Force Majeure
Altss shall not be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation facilities, fuel, energy, labor, or materials, or failures of telecommunications or internet service providers.
15.11 Notices
All notices required or permitted under these Terms shall be in writing and shall be deemed delivered when delivered in person, by email, by a recognized overnight delivery service, or by certified or registered mail, return receipt requested, to the address specified during the registration process, in the case of User, or to the address below, in the case of Altss:

15.12 Amendment
Altss reserves the right to modify or update these Terms at any time by posting the revised Terms on our website or through the Services. Your continued use of the Services after the effective date of any such modification constitutes your acceptance of the modified Terms. If any modification is unacceptable to you, your only recourse is to terminate these Terms.
15.13 Headings
The section titles in these Terms are for convenience only and have no legal or contractual effect.
15.14 Electronic Communications
By using the Services, you consent to receiving communications from Altss electronically. Altss may communicate with you by email or by posting notices on the Services. You agree that all agreements, notices, disclosures, and other communications that Altss provides to you electronically satisfy any legal requirement that such communications be in writing.
