Spaceship DAO does not fit neatly into either category. It has no general partner, no limited partner agreements, and no centralized investment team. It functions as a decentralized investment collective, where members pool capital and govern allocations through token-weighted voting — a structure that is legally and operationally distinct from both venture firms and family offices.

The DAO's on-chain wallet activity provides a transparent record of positions.

Membership is tied to token ownership or contribution-based distributions. Token holders can create and vote on proposals proportional to their holdings. The DAO's governance framework is encoded in smart contracts, and all votes are recorded on-chain. Members span angel investors, crypto founders, and remote contributors across multiple time zones.

Spaceship DAO has not publicly disclosed a traditional legal wrapper such as a Delaware LLC or offshore foundation. The entity operates through smart contracts and multi-signature wallets, which places it in an experimental regulatory category. This structure means the DAO does not conform to the limited partnership model used by venture capital funds.

The DAO maintains operational nodes in Palo Alto, Oakland, and London. These hubs serve as coordination points for members, though the membership base is globally distributed. The London node has been active in European deal sourcing and community-building events within the Web3 ecosystem.
