Oleg Yachnik, through his holding company Interholding LLC, owns the majority stake. Yachnik is also the chairman of Olma Investment Company, a Moscow-based investment firm. Allianz SE holds a 49.9% minority stake, a position retained after Zetta acquired Allianz's Russian operations in 2012. This ownership structure creates a dual-governance dynamic between a Russian majority sponsor and a German insurance multinational.

Allianz holds a 49.9% equity stake, giving it a blocking minority on key shareholder votes. The stake originated from the 2012 transaction that restructured Allianz's Russian subsidiary into the Zetta brand. While the operational partnership historically included reinsurance relationships, Western sanctions imposed on Russia since 2022 have significantly constrained cross-border financial and technical support between Munich and Moscow. Allianz's current level of operational influence is limited to its board representation and legacy contractual obligations.

Zetta operates as a composite insurer, writing both life and non-life policies in the Russian market. Non-life lines include property, casualty, and compulsory motor third-party liability. The firm is a full member of the Russian Association of Motor Insurers, which operates the Green Card cross-border motor insurance system. Life insurance products include endowment and investment-linked policies distributed through Zetta's direct sales force.

Zetta's operations are entirely domestic, centered on its Moscow headquarters. There are no disclosed subsidiaries or branch offices outside the Russian Federation. The Allianz minority stake is the firm's only material international linkage, though this is a governance and ownership relationship rather than an operational footprint. Zetta's membership in the Association of European Businesses, through its Insurance and Pensions Committee, represents its only formal Western business association.
