Seed Club

Seed Club uses a token-governed community to surface, evaluate, and select early-stage web3 projects. Holders of the CLUB token participate in curation and due diligence, and selected teams enter a structured program that blends mentorship with access to Seed Club Ventures capital. This crowdsourced sourcing model is meant to surface projects that traditional venture scouts might miss in decentralized ecosystems.

Seed Club operates in two layers. The DAO side is a tokenized membership organization that runs accelerators, manages community governance, and coordinates deal flow. Seed Club Ventures is the legally structured investment fund that writes equity or token checks into selected cohort companies. The fund draws from the DAO's sourcing engine but operates with conventional limited-partner agreements and is domiciled in the Cayman Islands.

Seed Club Ventures invests through both equity and token-sale agreements, depending on the portfolio company's capital formation strategy. The firm has flexibility to take traditional equity stakes, purchase tokens in pre-launch rounds, or structure hybrid instruments that convert under agreed milestones. The exact terms are not publicly disclosed.

Governance is distributed among CLUB token holders, who vote on accelerator cohort selection and key DAO-level decisions. Investment decisions within Seed Club Ventures, however, are made by the fund's general partners—including Jess Sloss and Josh Cornelius—under a more traditional fund mandate. This bifurcation separates community curation from fiduciary capital deployment.

Seed Club continued operating through the market contraction and closed a second accelerator cohort in September 2023. While many tokenized accelerators disbanded or went dormant during the downturn, Seed Club maintained its community and fund activities. It has not disclosed current token-holder numbers or the resulting contraction in treasury value.
